Are you a qualified Chartered Company Secretary with experience in a listed plc environment?
We’re looking for an accomplished Assistant Company Secretary to join our team in St Albans. This is a varied and influential role, offering exposure to Board and Committee governance, listed company compliance, share schemes, annual reporting and subsidiary governance.
Working closely with the Senior Assistant Company Secretary and senior stakeholders across the business, you’ll help ensure that the Group continues to meet its legal, regulatory and governance responsibilities. You’ll also have the opportunity to deputise for the Senior Assistant Company Secretary when required.
What you'll be doing?
In this role, you will:
- Support compliance with UK listing obligations and Market Abuse Regulation, including drafting and releasing RNS announcements, maintaining insider lists and supporting share-dealing processes.
- Assist with the design, production and distribution of the Annual Report, including drafting the Directors’ Report and Corporate Governance Statement.
- Work with stakeholders across the business to prepare relevant sections of the Strategic Report.
- Support the administration of executive and all-employee Group share schemes, including grant and vesting processes, employee benefit trusts, participant queries and record-keeping.
- Help prepare Board and Committee calendars, agendas, papers and meeting packs.
- Support the planning and co-ordination of the Company’s Annual General Meeting.
- Monitor and co-ordinate the investigation of cases raised through the Group’s independent whistleblowing helpline and draft reports for the Audit Committee.
- Support subsidiary governance and compliance, including statutory records and filings, financial statement approvals, minutes and resolutions.
- Contribute to corporate activity such as acquisitions, disposals and internal restructuring projects.
What we need from you?
You’ll be a qualified Chartered Company Secretary with strong experience gained within a listed plc environment.
You will also bring:
- Strong knowledge of the Companies Act 2006, UK Corporate Governance Code, UK Listing Rules, Disclosure and Transparency Rules and Market Abuse Regulation.
- Excellent written and verbal communication skills, with the ability to create clear, concise and professional communications for different audiences.
- The confidence and credibility to work with senior stakeholders.
- The ability to work independently, manage competing priorities and deliver at pace.
- Sound judgement and a professional, discreet approach to confidential and sensitive matters.
- The capability to deputise for the Senior Assistant Company Secretary when required.
