This position involves providing critical support to the corporate law department, assisting with corporate governance, compliance, and transactional matters. You will be responsible for managing corporate records, preparing legal documents, and liaising with clients and regulatory bodies. Key Responsibilities
- Assist with the formation and maintenance of corporate entities, including company registrations and amendments.
- Prepare and file statutory returns and ensure compliance with the Companies Act.
- Manage corporate record-keeping, including minute books, share registers, and board resolutions.
- Support attorneys in due diligence processes for mergers, acquisitions, and other transactions.
- Draft and review routine corporate legal documents, such as non-disclosure agreements and service agreements.
- Liaise with clients, regulatory authorities, and other stakeholders as required.
Requirements
- Recognized paralegal qualification and/or significant practical experience in corporate law.
- Solid understanding of the South African Companies Act and corporate governance principles.
- Proficiency in preparing and filing corporate documents and returns.
- Excellent organizational skills and meticulous attention to detail.
- Strong communication and interpersonal skills.
- Experience with legal research databases and corporate secretarial software.
