About the Role
Our client, a dynamic and growth-oriented multinational corporation, is seeking an accomplished Remote Senior Mergers & Acquisitions (M&A) Lawyer to join their sophisticated legal department. This role operates entirely Remote and will focus on leading and supporting complex M&A transactions, from initial strategy and due diligence through to closing and post-acquisition integration. You will collaborate closely with senior management, finance, and business development teams to identify opportunities, negotiate terms, and manage the legal intricacies of deals across various jurisdictions. The ideal candidate will possess extensive M&A experience, a strategic mindset, and the ability to excel in a fast-paced, global environment while working from any location.
Key Responsibilities
- Lead and manage all legal aspects of M&A transactions, including due diligence, negotiation, and drafting of sale and purchase agreements, and shareholder agreements.
- Develop M&A strategies in collaboration with senior leadership and business development teams.
- Conduct comprehensive legal due diligence on target companies, assessing risks and identifying key legal issues.
- Advise on transaction structuring, deal terms, and post-closing integration matters.
- Coordinate with internal legal teams, external counsel, and other advisors on deal execution.
- Ensure compliance with all relevant corporate laws, securities regulations, and transactional requirements.
- Manage contractual documentation and closing processes for M&A deals.
- Advise on corporate governance implications of transactions.
- Assist in post-merger integration planning and execution from a legal perspective.
- Stay current with M&A market trends, legal developments, and best practices.
Requirements
- Admitted Attorney of the High Court of South Africa or equivalent, with a minimum of 9 years of progressive experience in M&A law, preferably within a corporate legal department or top-tier law firm.
- Demonstrated track record of successfully managing complex, cross-border M&A transactions.
- In-depth knowledge of corporate law, securities regulations, and transactional documentation.
- Exceptional negotiation, drafting, and analytical skills.
- Strong business acumen and ability to understand diverse business models.
- Excellent project management and organizational skills.
- Outstanding communication and interpersonal skills, with the ability to build relationships and influence stakeholders at all levels.
- Proven ability to work independently, manage multiple high-stakes projects concurrently, and thrive in a demanding remote setting.
- Experience in a specific industry relevant to the client's operations is a plus.
