Investment Funds – Associate

The team operates on a genuinely cross‑office basis, so we would be open to candidates looking to be based in our London, Edinburgh or Glasgow offices.

The Opportunity
You will play a central role in some of the most dynamic and impactful private fund matters in the market, advising leading fund managers and significant institutional investors across the full lifecycle of structuring, fund formation and investment activity. Working with colleagues across London, Scotland, Luxembourg, Dublin and our wider international network, you will support a diverse range of sectors spanning infrastructure, energy, climate & sustainability, impact, real estate, debt and private equity.

Role And Responsibilities
- Take ownership of client matters and be given the opportunity to lead transactions with support from senior colleagues.
- Help with the strategic growth of our team and be given the freedom and confidence to grow client relationships for yourself and the wider team across our international network.
- Advising on the structuring, establishment and operation of private investment funds across sectors including energy, infrastructure, climate & sustainability, impact, infrastructure, debt and private equity.
- Drafting and negotiating core fund documentation such as limited partnership agreements, shareholder agreements, unit trust deeds, management agreements and administration agreements.
- Leading on investor negotiations, including handling side letter requests and preparing tailored fund review reports for institutional investors.
- Working closely with tax specialists, offshore counsel and administrators to deliver seamless, full‑service advice throughout fund formation and fundraising.
- Developing strong client relationships, supporting business development initiatives and playing an active role in the continued growth of our market‑leading Funds team.
