We are currently looking for a Counsel – Corporate Governance to join our Corporate Secretary team within Legal, based in our Operations Centre, Lausanne. Here you will play an active role in the biggest transformation in the history of our company.
In this position you will be effective in exercising seasoned judgment and providing guidance to business and functional leaders across the organization with responsibility for performing a variety of moderately complex to complex legal matters and projects including day-to-day advice to the company and its business professionals on a range of governance law matters. You will be responsible for providing efficient and effective support to PMI’s subsidiaries and internal management committees. You will work with the members of the Corporate Secretary team to support governance activities of joint ventures and subsidiaries, as well as to provide general governance advice and guidance
Key Responsibilities:
- Partner and actively collaborate with PMI’s business colleagues in the Dutch affiliate, primarily, and members of other regional management teams, the corporate office and with members of the legal department, to support sustainable business models, including intercompany transactions and with third parties.
- Help business colleagues understand the risks and consequences of actions taken in transactions. Effectively communicate the consequences and develop alternatives to manage identified risks.
- Efficiently gather and distill relevant information from appropriate sources, identify and analyze legal issues and know when to escalate them.
- Lead legal advice to the Corporate Finance Team on corporate law matters, intercompany agreements and agreements with third parties and participate in cross-functional projects, including corporate restructurings and changes of investment.
- Identify and analyze legal issues, draft key documents, present clear recommendations and ensure compliance with corporate and other applicable laws.
- Stay current with legal developments, best practices and benchmarks in the noted areas of law.
- Maintain a culture with a high degree of emphasis on dignity, respect, and inclusion
Who we’re looking for:
- Juris doctor and licensed to practice law in a locale where PMI operates.
- At least 5 years of experience with a demonstrated in-depth understanding of corporate governance and contract law. Both in-house and major law firm experience preferred.
- Knowledge of Dutch corporate law and corporate formalities required, and knowledge of corporate law and corporate formalities of other jurisdictions a plus.
- Ability to work in a fast-paced environment, handle multiple conflicting priorities while managing a substantial workload and business expectations.
- Demonstrated understanding of how corporations operate, with a proven ability to understand complex business models.
- Experience of working successfully in a highly results-oriented and performance-driven environment with a focus on excellence.
- Robust interpersonal and writing skills, with the confidence and credibility to act quickly, communicate effectively both internally and externally.
- Proven ability to think strategically and exercise sound judgment.
- Ability to oversee complex projects and lead them to successful completion in an organized, efficient, and effective manner.
- Extreme attention to detail.
- Ability to maintain an appropriate perspective regardless of the delicacy or pressure of a situation.
- Strong organizational skills demonstrated by motivation toward planning and communicating with high performance teams in a dynamic environment.
- Strong project management skills and ability to proactively follow-up on tasks, as necessary.
- Position requires a high degree of accuracy, accountability, and ability to maintain confidentiality.
- English and Dutch fluent; French an asset.
