What you’ll be doing
Reporting to the Head of Corporate Governance, the Corporate Governance Manager will play a pivotal role in overseeing corporate governance and the general administration of entities within the People’s Partnership Group. The position carries a broad remit, encompassing committee and board support, as well as regulatory and statutory compliance responsibilities.
- Preparing and maintaining Board and Committee calendars, seeking and monitoring director availability for meetings, as necessary.
- Managing the preparation, collation and distribution of agendas and papers.
- Maintaining the statutory registers of entities within the Group, including the Register of Members, Directors etc.
- Ensuring compliance with annual filing requirements, including the filing of statutory accounts at Companies House and the online filing of Confirmation Statements.
- Preparing and filing necessary documents for event driven changes including change of officers, change of name, change of registered office, change of accounting reference dates, etc.
- Supporting corporate transactions as and when required, including drafting Board resolutions.
- Assisting with Supervisory and other Regulatory Returns.
- Acting as a point of contact for Board members and other stakeholders.
What we’re looking for
- 2-5 years working in a UK corporate legal or secretarial function.
- Good knowledge of the UK Companies Act, corporate legislation, corporate governance codes and best practice.
- Experience of taking minutes and the ability to identify and record the salient points of discussion.
