What you’ll be doing:

  • Act as secretary to the Executive Risk Committee and Board Risk and Compliance Committee, ensuring accurate and concise minutes of meetings are taken and circulated in a timely manner.
  • With oversight of the Deputy Company Secretary, drafting, verifying and maintaining key governance documents e.g. governance sections of the annual report and accounts, and carrying out an analysis of Paragon’s compliance with the 2024 UK Corporate Governance Code.
  • Ensure that an allocated portfolio of subsidiaries complies with legal, regulatory and constitutional governance obligations, including external (Companies Act 2006, Stock Exchange (where applicable), FCA/PRA, Banking best practice) and internal Paragon Corporate Governance Framework requirements assuming collective responsibility jointly with the other team members for such compliance overall.
  • Support the General Counsel and Deputy Company Secretary in analysing and providing specialist advice on new business and legislative developments/projects in order to clearly identify any statutory, compliance and corporate governance implications for Paragon and its subsidiaries.
  • Assist with meetings of any subsidiary companies in addition to board/management committees and collate and distribute meeting papers and produce accurate, concise and timely minutes.

About You - What you’ll bring to the team:

  • Essential Qualifications: At least 2-3 years company secretarial experience (preferably in a listed or financial services environment).
  • Knowledge and/or experience of the Risk and Compliance functions of financial services organisations is a plus.
  • Qualified or materially part-qualified Chartered Secretary, Lawyer or relevant professional qualification.
  • Minute taking experience is a must.
  • Well-developed organisational skills, with the ability to work efficiently under pressure and to tight deadlines.
  • Ability to work on own initiative and as part of a busy and professional team.

Working hours: You will be required to work 37.5 hours per week across Monday to Friday. Your start and finish times will be agreed between you and your manager.
