Job Description

The VP, Legal Counsel will be responsible for:

  • Provide legal support to business units with respect to mergers & acquisitions, structured notes and other structured cash and derivatives products and Fixed Income business lines concerning transactional and regulatory matters, as well as other general legal matters.
  • Analyze merger and acquisition related materials, including asset purchase agreements, NDAs and commitment letters.
  • Advise on deal-contingent hedges and related swaps.
  • Review a variety of credit agreements and other transaction documents concerning project financing transactions.
  • Advise on securities laws-related matters and provide dedicated coverage to existing structured note programs.
  • Manage outside counsel in various jurisdictions to assess probability of successful acquisition or debt financing closings in relation to deal contingent derivatives.

The Successful Applicant

  • JD from top US law school with excellent academic credentials.
  • Admission to NY State Bar.
  • 3+ years practicing at a top AmLaw 100 firm with exposure to banking & finance, structured finance, project finance and/or securities regulatory matters.
  • Willingness to learn new areas and different financial products.
  • Team player.
