Job Description
The VP, Legal Counsel will be responsible for:
- Provide legal support to business units with respect to mergers & acquisitions, structured notes and other structured cash and derivatives products and Fixed Income business lines concerning transactional and regulatory matters, as well as other general legal matters.
- Analyze merger and acquisition related materials, including asset purchase agreements, NDAs and commitment letters.
- Advise on deal-contingent hedges and related swaps.
- Review a variety of credit agreements and other transaction documents concerning project financing transactions.
- Advise on securities laws-related matters and provide dedicated coverage to existing structured note programs.
- Manage outside counsel in various jurisdictions to assess probability of successful acquisition or debt financing closings in relation to deal contingent derivatives.
The Successful Applicant
- JD from top US law school with excellent academic credentials.
- Admission to NY State Bar.
- 3+ years practicing at a top AmLaw 100 firm with exposure to banking & finance, structured finance, project finance and/or securities regulatory matters.
- Willingness to learn new areas and different financial products.
- Team player.
