Job Description

The Senior Counsel will work with the Deputy General Counsel and other members of the legal team.

Main Responsibilities

  • Advise on all registered funds related legal matters, including drafting and reviewing all offering, marketing and documentation, reviewing for SEC and FINRA compliance.
  • Provide legal advice and aid in provisions relating to 1940 Act compliance as it pertains to transactions, fund of fund matters, advisory, etc.
  • Negotiate a wide range of agreements with registered fund counterparties, including closed-end funds, mutual funds, real estate investment trusts and various fund managers.
  • Manage outside counsel as necessary.
  • Work closely with other members of the legal team on additional projects as they arise.

The Successful Applicant

  • JD from top law school with excellent academic credentials and GPA.
  • Admitted to NY State Bar.
  • 4-10 years of experience within the Registered Funds/Mutual Funds group of a top law firm or in-house.
  • 4-10+ years of fund formation experience within the registered fund or mutual fund space.
  • Strong knowledge of the 1933 Act and 1940 Act and Forms N-1A and N-2.
  • Member in good standing of NY Bar or another state or jurisdiction.
  • Law firm or in-house experience at an asset management firm is a plus.
  • 1934 Act as well as Commodity Exchange Act and NFA Rules experience is a plus.
  • Experience working with UITS and ETFs is preferred.
  • Strong interpersonal and communication skills.
  • Willingness to learn new topics and work in an evolving business environment.
  • Organized and detail-oriented with big picture capabilities.
