Job Description
- Lead the negotiation, drafting, and execution of a broad range of commercial agreements, including master services agreements, data processing agreements, order forms, amendments, and renewals.
- Review and respond to customer contract redlines in a timely and business-oriented manner.
- Develop and maintain contract playbooks, approved language libraries, and self-service templates to improve efficiency and consistency.
- Partner closely with sales and commercial stakeholders to support strategic transactions and drive successful deal outcomes.
- Manage external counsel on specialized legal matters, including international regulatory, compliance, and complex commercial issues.
- Advise on global privacy and data protection requirements, including jurisdiction-specific contractual obligations.
- Collaborate with customer success and account management teams on renewals, expansions, and ongoing customer relationships.
- Design and implement scalable legal processes that balance risk management with operational efficiency across a growing customer base.
The Successful Applicant
- J.D. and strong academic credentials, with admission to practice in at least one U.S. jurisdiction preferred.
- Approximately 7-12 years of commercial and transactional legal experience, ideally gained within a high-growth technology or software environment.
- Extensive experience negotiating complex enterprise agreements, data processing agreements, privacy-related terms, and information security provisions.
- Demonstrated success developing contract playbooks, standardization initiatives, and scalable legal processes.
- Strong understanding of data privacy frameworks and cross-border commercial contracting.
- Comfortable operating as a business partner to sales and revenue teams in a fast-paced environment.
- Experience managing outside counsel and determining when matters should be handled internally versus escalated.
- Familiarity with information security and compliance frameworks such as SOC 2 and ISO 27001 is preferred.
- International commercial experience, particularly supporting customers across multiple jurisdictions, is highly desirable.
- Entrepreneurial mindset with the ability to work independently while building a legal function from the ground up.
