The Fund Formation Attorney will work with the General Counsel and other members of the legal team. The role is focused on representing private funds on legal, compliance and regulatory issues, mainly: capital raising, marketing, investor relations, fund formation and structuring, corporate transactional matters and contracts.
Main Responsibilities
- Draft and negotiate a wide variety of agreements with internal and external clients, including: private fund offering materials, partnership agreements and other private fund legal documentation
- Assist the legal team with regulatory matters, including regulatory filings
- Manage outside counsel
- Review marketing materials for SEC and FINRA compliance
- Draft and review NDAs and other contracts
