Job Description
The Fund Formation Attorney will work with the General Counsel and other members of the legal team. The role is focused on representing private funds on legal, compliance and regulatory issues, mainly: capital raising, marketing, investor relations, fund formation and structuring, corporate transactional matters and contracts.
Responsibilities
- Draft and negotiate a wide variety of agreements with internal and external clients, including private fund offering materials, partnership agreements and other private fund legal documentation.
- Assist the legal team with regulatory matters, including regulatory filings.
- Manage outside counsel.
- Review marketing materials for SEC and FINRA compliance.
- Draft and review NDAs and other contracts.
The Successful Applicant
- JD from top law school with excellent academic credentials and GPA.
- Admitted to NY State Bar.
- 3-5 years of experience within the Fund Formation/Private Funds group of a top law firm.
- Strong knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and FINRA regulations.
- Team player.
- Excellent communication skills.
