Job Description

The Senior Derivatives Counsel will be a key member of the investment bank's legal team with a focus on equity derivatives, ISDA trading documentation, and other legal matters with room to expand into other areas.

Main Responsibilities

  • Provide legal coverage to the equities sales and trading business, with an emphasis on equity derivatives and structured equity finance transactions.
  • Draft, review, and negotiate trading documentation, including ISDA Master Agreements, credit support annexes (initial and variation margin), master confirmations, and related agreements.
  • Advise on regulatory requirements impacting derivatives transactions, including uncleared margin rules and other applicable frameworks.
  • Support trading activity across a variety of products, including equity swaps, options, and forwards.
  • Draft and negotiate securities financing documentation, such as MRAs and MSLAs, and contribute to the development and maintenance of standardized templates.
  • Collaborate with internal stakeholders across Credit, Market Risk, Collateral, Operations, and related functions to address legal, documentation, and risk considerations.
  • Provide legal support across a broader suite of equity‑linked products, including structured notes, corporate equity derivatives (e.g., ASRs and issuer forward transactions), custom indices, quantitative investment strategies, and more bespoke solutions.

The Successful Applicant

  • JD from US ABA accredited law school.
  • 5+ years of experience gained at a top law firm, in‑house handling derivatives at an investment bank or a combination thereof.
  • US State Bar Admission.
  • Experience drafting, negotiating and advising on a wide range of equity derivatives and trading documentation.
  • Experience advising on margin loans and structured notes transactions.
  • Strong understanding of ISDA framework.
  • Excellent drafting and negotiating skills.
  • Ability to simplify legal advice for multiple stakeholders within a fast paced business.
