Ortus Group is working with a highly regarded specialist law firm that is looking to hire a Corporate Associate (4+ years' PQE) to support the continued growth of its Corporate team. This is an excellent opportunity to join a forward-thinking, employee-owned law firm with a strong reputation in the market, a genuinely collegiate culture and a clear growth strategy within its corporate offering.
The firm is known for its expertise in workplace and people-related legal issues and has built a growing Corporate practice that supports both individual and corporate clients. You will work closely with the Partner and Head of Corporate, alongside another Associate (currently on maternity leave), giving you real exposure, responsibility and the opportunity to play a meaningful role in the team's development.
The role is based in the City of London, with occasional travel to regional offices (Reading and Bristol), supporting a true "one firm" approach and broad client exposure.
You can expect a broad and high-quality corporate workload, including:
- Articles of association, shareholders' and investment agreements
- Partnership and LLP agreements
- Share option arrangements (including EMI schemes)
- Client terms and conditions
- Board and shareholder resolutions
- General company law and Companies Act advice
A significant and growing part of the practice involves advising businesses on transitioning to Employee Ownership Trust (EOT) structures. Over time, you will be encouraged to take an increasingly prominent role in EOT transactions as a core part of the team. There is also a strong focus on M&A, including:
- Running smaller transactions independently
- Assisting on more complex deals
- Advising on SPAs
- Drafting loan, facility and security documents
- Supporting due diligence and disclosure exercises
- Preparing transaction bibles
You will have direct client contact, manage your own caseload and be expected to build long-term client relationships as a trusted adviser.
