OneStream is seeking a Legal Counsel to join its Legal team. This role is well-suited for a law student or attorney who is willing to roll up their sleeves and take on significant responsibility across several areas of the business, including contract negotiation, non-disclosure agreements, software licensing, SaaS agreements, Cloud Services, and more.
We’re looking for an intelligent, intuitive, caring individual who can communicate effectively with customers and who is able to learn on the fly. Excellent legal writing is a must as well as solid organizational skills. This is a job that will offer unique insight into the complexities of a rapidly growing start-up business while giving valuable work experience and hands-on responsibilities.
Primary Duties And Responsibilities- Advising on all legal matters with focus on software licensing and sales matters for SaaS services, managed services, on-premise software, and professional services.
- Negotiate and drive strategic transactions and a significant volume of sales agreements.
- Counsel sales and sales management and other relevant groups on a variety of licensing, intellectual property, commercial, data security and privacy law topics.
- Coordinate with various stakeholders and subject matter experts in both the legal department as well as other groups at OneStream to help drive transactions to successful completion.
- Draft, review, and negotiate EMEA SaaS and software license agreements and amendments.
- Work with foreign attorneys on agreements.
- Draft, review, and negotiate other commercial or corporate agreements such as NDAs and vendor agreements.
- Provide support to sales and account managers on issues of contract interpretation and disputes.
- Conduct legal research on issues related to acquisitions and workers.
- Improve efficiency and compliance by changing processes and training the sales team.
- Work with Compliance Team on Privacy Shield and GDPR.
- Work with Compliance Team on SOC 2, SOC 1, HIPPA, and FedRamp compliance documents.
- College diploma or Bachelor’s Degree in a technology-related field or equivalent work experience.
- Law education, or equivalent from accredited law school and licensed to practice law in the UK.
- Minimum 1 year’ experience with a focus on negotiating software or technology related license agreements.
- Demonstrated ability to quickly digest complex information and make good, informed decisions.
- Must be self-motivated and high energy, as well as able to collaborate with different teams.
- Demonstrated competency with common technology, including but not limited to email, internet, Excel and Word.
- Strong analytical, attention-to-detail, and problem-solving skills.
- Strong written and verbal communication skills.
- Comfortable in a fast-paced and evolving environment.
- Experience with data privacy laws, a plus.
- High degree of transactional independence, initiative, and judgement.
- Ability to deliver results, both as an individual contributor and as a member of the global legal team.
- Capacity to lead projects and coordinate with external advisors.
- Demonstrated ability to quickly digest complex information and make informed decisions.
- Must be self-motivated with high energy.
- Strong analytical, attention-to-detail, and problem-solving skills.
- Strong written and verbal communication skills, including the drafting of agreements and giving advice in plain English.
