Are you a highly skilled and detail-oriented finance professional with a passion for mergers and acquisitions (M&A)? Do you thrive in a fast-paced and dynamic environment, collaborating with cross-functional teams to drive successful transactions? If so, we have an exciting opportunity for you to join our expanding M&A Finance team as our new M&A Finance Lead.
At Oliver Wyman we recognize that acquisitions are key to our organization’s growth. As our M&A Finance Lead, you will play a crucial role in overseeing the financial aspects of our company’s M&A transactions from IOI to post-completion integration.
You will collaborate with partners across the business, including Corporate Development, Legal, Tax, and Accounting/Controllership, to ensure the financial feasibility and alignment of our strategic objectives.
Key Responsibilities of this role will include:
- Structuring and negotiating financial terms in IOI/LOI, ensuring alignment with strategic objectives
- Leading financial due diligence process, working closely with internal teams and external advisors
- Reviewing financial models and valuation analyses to support investment decisions
- Collaborating with legal, finance, and tax teams to review purchase/sale agreements
- Calculating net working capital target, considering specific factors impacting target company’s requirements
- Consolidating financial due diligence report and findings
- Preparing and reviewing closing statement summarizing financial aspects of the transaction
- Overseeing post-closing true-up process to reconcile discrepancies or adjustments
- Developing a “playbook” for financial integration, ensuring smooth transition of systems and reporting
- Supporting the integration of financial planning and analysis (FP&A) processes
- Monitoring and tracking financial performance of acquired company post-close
Who we are looking for:
- You’ll have proven experience in mergers and acquisitions or corporate development and have a strong understanding of financial concepts and principles
- Previous experience working with legal, tax, and M&A accounting advisory specialists is essential
- Experience reviewing purchase agreements is required
- Excel to at least intermediate level is expected
- You’ll hold a Bachelor’s degree in finance, accounting, or related field – a professional accounting qualification is preferred
