Please note: We are open to considering candidates looking for reduced hours (28 hrs per week minimum) as well as full time.

Reporting to Managing Legal Counsel, this role will support the In-House Legal function (within the wider In-House Counsel and Corporate Governance team) on a variety of legal matters, primarily supporting the corporate administration services business of Ogier, being Ogier Global. The role will include the provision of advisory services to the senior management of Ogier Global and other key stakeholders within the Ogier business.

Key Responsibilities

  • Provide legal support to managing legal counsel and the wider In-House Counsel and Corporate Governance team in respect of Ogier Global.
  • Assist managing legal counsel, and where appropriate, lead certain Ogier Global projects and business-as-usual (BAU) matters.
  • Work closely with key business stakeholders (e.g. Ogier Global directors, the Human Resources, Risk and Compliance, Information Security, Information Technology, Marketing and Finance teams) in order to meet deliverables in relation to the investment strategy and other desired outcomes/results for Ogier Global.
  • Understand and advise key business stakeholders in respect of the Ogier group structure and intragroup legal obligations so far as they relate to Ogier Global.
  • Support, and when necessary, provide advisory services to senior management of Ogier Global on a wide variety of matters (which could include advice in connection with the operational boards and risk, corporate governance framework, legal and regulatory obligations).
  • Know when to seek the support of, and liaise with, managing legal counsel and/or external professional advisers (including legal advisers) to Ogier Global.
  • Assist managing legal counsel with the maintenance of key corporate and operational documentation, such as articles of association, shareholders agreement(s), intragroup outsourcing, services and licence agreements.
  • Support Ogier Global, as necessary, with the process of engaging clients, including responding to queries, drafting and negotiation of service agreements and terms and conditions, where relevant.
  • Assist with the co-ordination of the approval process for decisions to be taken by the various Ogier Global operating boards and the board of Ogier Global Holding Company Limited.
  • Attend meetings of in-house entities/committees as and when required.
  • Provide support to ad-hoc queries received from the Ogier Global business.
  • Review and advise upon certain contracts with third-party suppliers, from a legal risk/commercial perspective.
  • Working alongside qualified data protection professionals within the In-House Counsel and Corporate Governance team, provide advice to Ogier Global on matters of data protection.
  • Review and advise upon, when necessary, any Ogier Global (and, if appropriate the wider Ogier group’s) policies and procedures.
  • Be a key stakeholder and contributor to internal processes in order to ensure Ogier is meeting its regulatory obligations (e.g. outsourcing, third-party supplier process etc).
  • Contribute to innovative ways of working to ensure both the In-House Legal function and the wider In-House Counsel and Corporate Governance team are providing an efficient service to key stakeholders (e.g. assisting with the preparation of self-help guidance for the business).
  • Such other duties as the business may reasonably require from time to time, including supporting the wider In-House Legal team through periods of absence (e.g. holidays).
  • Have the ability to upskill/take into consideration laws affecting each of Ogier Global’s jurisdictions.

Skills, Knowledge And Expertise

  • Qualified lawyer of at least 6 years’ PQE.
  • Experience of working within a cross-jurisdictional/offshore corporate and regulatory environment, an advantage.
  • In-house experience welcome but not compulsory.
  • Knowledge of AML legislation and framework, regulatory environments and data protection, an advantage.
  • Strong interpersonal and communication skills.
  • Superior organisational skills with the ability to efficiently manage own time and prioritise workflow.
  • Supporter of change and have the ability to adapt to the continual roll-out of innovative tools and processes.
  • Supportive of and able to demonstrate agile and flexible working.
  • Ability to consider organisation-wide implications when making decisions.
