Key Responsibilities:
- CLO Office Responsibilities:
- Design and implement a global litigation strategy, including governance, escalation protocols, and dispute resolution frameworks.
- Build internal capabilities and external partnerships to manage serious disputes with regional leaders.
- Oversee and handle serious dispute matters, ensuring consistent standards, reporting, and strategic oversight with regional units and CRO team.
- Lead scenario planning and readiness for high-impact legal events and disputes with regional units and CRO team.
- Oversee and handle serious internal wrongdoing incidents, ensuring consistent standards, reporting, and strategic oversight with regional units and CRO team.
- Directly lead execution of investigation and analysis of serious incidents and develop options and recommendations on actions to take.
- People Responsibilities:
- Collaborate with the Strategic People & Culture Business Partner for Legal to prepare a comprehensive global talent map of legal professionals for FY25, laying the foundation for a globalized legal operating model in FY26.
- Lead business driven efforts to align legal talent with global operational needs, ensuring readiness for future transformation.
- Champion the growth and development of legal talent, promoting a culture of excellence, integrity and continuous learning.
- Global Legal CoE Responsibilities:
- Play a leadership role in developing and executing on legal strategy for global M&A transactions, joint ventures, and legal entity rationalization, including due diligence, risk mitigation, and post-deal integration.
- Directly lead project execution from a legal perspective on M&A and JV transactions in relation to due diligence and negotiation where directed by the CLO or when warranted where transactions exceed certain thresholds such as transaction value.
- Develop and maintain legal frameworks, tools, and best practices to support M&A activities globally.
- Collaborate with internal and external stakeholders to ensure legal compliance and strategic alignment in deal structuring.
- Support integration of legal operations post-M&A, ensuring alignment with global legal frameworks and enterprise risk posture.
- Regulatory Affairs:
- Oversee legal compliance with global regulatory requirements, including governance, reporting, and risk management.
- Monitor emerging regulatory trends including new laws and regulations and analyse the impact of such trends to advise the CLO and executive leadership on strategic implications.
- Partner with internal stakeholders to ensure readiness to respond to regulatory trends and to align with evolving legal standards.
- Play a leading role in contact with and discussions/negotiations with regulatory authorities, as directed by the CLO.
- IP:
- Play a leading role in legal strategy and policy development for intellectual property, globally.
Knowledge and Attributes:
- Deep expertise in litigation, HRM, M&A, regulatory law, and intellectual property.
- Strategic thinker with exceptional leadership and transformation skills.
- High integrity, discretion, and ability to influence at executive and board levels.
- Proven ability to lead complex, cross-border legal initiatives in a matrixed environment.
- Significant stakeholder engagement and communication skills across cultures and geographies.
Academic Qualifications and Certifications:
- Juris Doctor (JD) or equivalent law degree from an accredited institution.
- Admission to practice law in at least one jurisdiction; international legal qualifications preferred.
Required Experience:
- 12+ years of legal experience, including significant exposure to M&A, litigation, and corporate regulation in a global context.
- Significant experience supporting or working closely with executive leadership in a legal and strategic capacity.
- Demonstrated experience in designing and implementing litigation strategies and frameworks within a similar corporate environment.
- Proven track record of leading legal aspects of complex M&A transactions including post-deal integration.
- Proven ability to lead legal operations and build scalable legal capabilities within a global matrixed corporate environment.
- Significant experience overseeing legal compliance in various regulatory areas.
- Significant experience in managing external counsel and legal budgets within a global and complex environment.
