Vice President, Legal, Capital Markets
We’re looking for a Vice President, Legal, Capital Markets with a strong foundation in complex asset and project financing transactions and demonstrated experience leading the legal execution of debt financings, project finance, asset finance, and other strategic funding arrangements.
Key Responsibilities
- Comfortable problem solving and making decisions on complex legal and commercial matters with high levels of ambiguity, including navigating cross‑jurisdictional financing arrangements, lender negotiations, and sophisticated financing structures.
- Influencing without authority and building relationships with senior stakeholders across Finance, Treasury, Capital Markets, and the wider business to drive successful outcomes.
- Exceptional project management, leading complex transactions from end to end, taking ownership of execution across documentation, due diligence, negotiations, approvals, and completion.
- Collaborating closely with internal and external stakeholders, maintaining oversight of multiple concurrent multi‑billion dollar financing processes.
- Understanding complex financial considerations quickly, including issue spotting finance and collateral documentation, providing portfolio structuring and compliance advice, and advising on the bankability of underlying offtake contracts.
- Experience as a senior advisor on digital infrastructure financing (preferably data centre project financing and/or AI hardware procurement financing) and various group debt financing processes spanning numerous financial instruments, including revolving credit facilities, bilateral facilities, European & US bonds, convertible bonds, convertible debt, and structured equity and financial security packages.
- Hands‑on legal professional who is highly organized, proactive, resilient, and able to remain calm under pressure, delivering consistently in a fast‑paced environment with shifting priorities and simultaneous transactions.
- Curiosity, quick learning, and excitement to help build Nscale’s in‑house financing capability as the company continues its global growth, working alongside a lean, high‑performing legal team supporting significant financing transactions in the AI infrastructure sector.
- What You'll Be Doing
- Work closely with the CLO, Finance, Treasury, and Capital Markets teams to lead the legal execution of Nscale’s financing transactions, supporting the business across project finance, asset finance, and other strategic funding initiatives in a capital‑intensive environment.
- Manage financing transactions from inception through to financial close, partnering with internal stakeholders, banks, lenders, and external counsel to coordinate all legal workstreams, negotiate documentation, and drive successful transaction execution.
- Advise on financing structures, funding solutions, and transaction strategy, supporting the delivery of complex cross‑border financings while balancing legal, commercial, and execution considerations.
- Take ownership of transaction management, coordinating multiple concurrent financing processes, overseeing due diligence, managing critical timelines, and ensuring all workstreams progress efficiently through signing and completion.
- Build trusted relationships across the business, collaborating with senior stakeholders to provide pragmatic legal advice, identify risks early, and support commercial decision‑making throughout the transaction lifecycle.
- Instruct and manage external legal advisers and specialist consultants globally, ensuring high‑quality advice, efficient execution, and alignment with Nscale’s commercial objectives.
- Proactively identify legal, commercial, and operational risks, helping to develop scalable financing processes, improve documentation standards, and strengthen governance across the financing function.
- Contribute to the continued development of Nscale’s in‑house financing capability, supporting a growing portfolio of complex transactions and building best‑in‑class legal support for one of the fastest‑growing AI infrastructure businesses globally.
Qualifications
- 10+ years of experience in top‑tier law firms, financial institutions, and/or in‑house legal roles (preferably within or for clients from the AI, hyperscaler, digital infrastructure, or technology industry) with exposure to complex financing transactions and corporate governance matters.
- Strong attention to detail with a focus on holistic, entrepreneurial, and fast‑paced decision‑making and work productivity.
- Significant experience in complex corporate cross‑jurisdictional transactions, including debt and equity fundraising, capital markets, venture debt, securitisation, and corporate governance, with an understanding of cross‑border regulatory and structuring considerations.
- Robust internal and external stakeholder management and communication skills, with the ability to influence and advise senior business leaders and collaborate effectively across cross‑functional teams.
- Experience and motivation to participate in a growing legal function in a busy and exciting business.
- Comfortable working in a fast‑paced, high‑growth environment. This role requires accountability, adaptability, and a commitment to excellence.
- Desired Experience
- Experience in digital infrastructure, AI infrastructure, hyperscalers, or data centres.
