About the Role
We are hiring a Capital Markets Legal Counsel (Director) to lead end-to-end financing strategy and execution for the EMEA region. This is a high-priority role that sits at the intersection of Legal, Treasury, and regional leadership, with a functional reporting line to the VP of Debt Capital Markets in New York and a dotted line to local EMEA leadership. You will work closely with internal stakeholders on early-stage financing strategy, customer contracting, legal due diligence, transaction execution, and post-closing lender requirements. This role is critical to supporting complex financing activity across EMEA. Your work will help ensure projects are structured effectively from the outset, transaction documents are negotiated and closed efficiently, and lender obligations are managed with rigor throughout the life of each deal.
What you’ll be doing
- Support early scoping of financing strategies in partnership with Treasury.
- Advise on legal considerations that shape financing structures for EMEA projects.
- Partner with leadership to address financing needs at the outset of project planning.
- Work with leadership to incorporate financing terms into customer documents at early stages.
- Integrate collateral contract requirements into customer contracting workflows.
- Review commercial documentation to help align customer arrangements with financing objectives.
- Coordinate with Treasury on tax financing diligence.
- Manage end-to-end negotiation of transaction documents across financing matters.
- Oversee external counsel and support coordination across banks and law firms.
- Oversee authorizations and board approvals required for transactions.
- Drive satisfaction of lender conditions precedent for drawdowns.
- Handle post-closing lender maintenance, including amendments and waivers.
- Maintain legal support across the full lifecycle of financing arrangements.
About You
- Ideally 7-10 years PQE.
- Experience at a top-tier law firm and/or bank preferred.
- Background in technology, asset financing, or project financing.
- Knowledge of digital infrastructure or GPU financing is a significant advantage.
- Ability to manage end-to-end financing transactions across structuring, diligence, negotiation, and closing.
- Strong attention to detail and a high standard of execution.
- Commercial acumen and sound judgment in complex transactional environments.
- Ability to operate autonomously in a fast-paced environment.
- Bilingual language skills strongly preferred to support the local EMEA team.
