About the Role
We’re hiring a Director, Legal (Corporate and M&A) to lead day-to-day corporate legal workstreams across M&A, joint ventures, equity fundraisings, restructurings, subsidiary governance, employee equity, and other strategic transactions. This role sits within the corporate legal team as one of the lead corporate counsels reporting to the SVP, Corporate and M&A. You’ll work closely with Corporate Development, the CFO, CEO, Tax, Treasury, Finance, People, and the Governance and Corporate Secretary function, providing legal leadership across complex, multi-stream transactions and governance matters. This is a high-impact opportunity to shape corporate execution at one of the most active AI infrastructure companies. Your work will help Nscale scale its international structure, execute strategic deals effectively, and build a more systematised corporate legal function as the business continues to grow.
What you'll be doing
- M&A and Strategic Transactions
- Lead M&A execution from term sheet through closing, including structuring, due diligence, drafting, negotiation, and post-close integration.
- Partner with Corporate Development, the CFO, and the CEO on strategic transactions, providing early-stage and ongoing legal input on structuring, risk, and execution.
- Run strategic minority investments, including structuring investment terms, conducting due diligence, drafting and closing documentation, and managing ongoing investor rights and reporting obligations.
- Joint Ventures and Corporate Structuring
- Lead joint venture projects end-to-end, from initial structuring and governance design through negotiation of JV agreements, shareholder arrangements, and operational frameworks.
- Ensure alignment across commercial, financial, and legal workstreams throughout the full JV lifecycle.
- Work with Tax, Treasury, and Finance on intra-group funding and reorganisations, ensuring legal documentation reflects commercial and tax requirements.
- Support subsidiary governance and entity rationalisation across a growing international footprint so the corporate structure scales with the business.
- Governance and Equity Matters
- Contribute to Board and Committee materials, including preparing and reviewing board resolutions, minutes, and supporting papers for M&A transactions, equity matters, governance updates, and other significant corporate actions.
- Advise on equity issuances, secondary transactions, and shareholder matters.
- Support employee equity workstreams in partnership with People and Finance.
- Partner closely with the Governance and Corporate Secretary function on ongoing corporate governance matters.
- Contribute to building and systematising the corporate legal function through processes, templates, and playbooks that help the team scale effectively.
- Assist the SVP and VP, Legal (Corporate and M&A) with management of external law firms and billing.
- Manage matter scoping, engagement letters, budget tracking, and invoice review to support cost-effective use of outside counsel.
About You
- 7+ years of corporate legal experience
- Strong experience from a top-tier law firm and/or significant in-house legal experience
- Proven M&A and corporate transactional track record
- Confidence leading multi-stream transactions as a project leader
- Qualified solicitor in England & Wales in good standing
- Experience partnering across senior stakeholders including Corporate Development, Finance, Tax, Treasury, and executive leadership
- Ability to advise on joint ventures, shareholder arrangements, and strategic transactions
- Strong grounding in corporate governance matters, including board and committee documentation
- Experience or interest in helping scale legal processes, templates, and playbooks in a growing business
- Familiarity with employee equity at venture or pre‑IPO stage is a plus
