As the Head of Governance, you will lead the delivery of a high-quality governance, company secretarial and compliance function across the Notting Hill Genesis Group. Working closely with the Director of Governance and Compliance (DGC), you will ensure the organisation remains compliant with all regulatory and legislative requirements, while embedding a culture of robust governance and accountability across the business.
You will play a key role in delivering and embedding the Governance Framework across the organisation, ensuring compliance with the National Housing Federation Code of Governance, the Regulator of Social Housing Governance and Viability Standards, and wider statutory obligations.
You'll lead governance support for boards, committees, subsidiaries and joint venture partnerships, ensuring excellent administration, compliance oversight, and strategic governance advice at every level of the organisation. You will also oversee areas including whistleblowing, anti-money laundering, fraud prevention, policy governance and company secretarial compliance.
As part of the wider leadership team, you'll drive continuous improvement, support organisational effectiveness, and foster a culture where governance and compliance are embedded into day-to-day operations.
How you'll do it
- Lead and embed NHG's Governance Framework, ensuring compliance with all relevant regulatory and statutory requirements.
- Deputise for the Deputy Company Secretary and/or Group Company Secretary where required across the NHG Group.
- Provide governance oversight and support to Boards and Committees, ensuring high-quality governance advice, administration, minutes and reporting.
- Oversee the delivery of board and committee forward plans, annual appraisals, effectiveness reviews, inductions and training programmes.
- Manage the governance of policies, standing orders, schemes of delegation and codes of governance across the organisation.
- Lead company secretarial activity including Companies House filings, AGM administration, shareholder communications and statutory compliance.
- Maintain accurate company records, registers and governance documentation to a consistently high standard.
- Ensure compliance with anti-money laundering legislation, whistleblowing requirements, anti-fraud measures and FCA consumer credit permissions.
- Manage governance and compliance reporting, ensuring robust monitoring frameworks and performance measures are in place.
- Support investigations relating to fraud, irregularities or governance concerns where required.
- Horizon scan legislative, regulatory and governance developments, ensuring the organisation remains ahead of emerging requirements and best practice.
- Collaborate with senior stakeholders and HR to deliver governance awareness, induction and training programmes across the Group.
The ideal candidate
- Proven experience leading a governance function within a highly regulated environment.
- Chartered Company Secretary qualification (or equivalent professional qualification).
- Strong knowledge of governance, company secretarial and regulatory compliance requirements.
- Experience managing fraud, whistleblowing, anti-money laundering or related compliance functions.
- Experience of working within complex governance and risk management environments.
- Excellent stakeholder management skills with the ability to influence and advise at senior leadership and board level.
- Strong leadership capability with experience managing and developing high-performing teams.
- Experience designing and delivering governance training, competency frameworks and awareness programmes.
- Strong organisational skills with the ability to manage competing priorities and deadlines.
- Advanced IT and systems skills including Microsoft Office.
