Norse Group have an exciting new opportunity to recruit a Group Head of Governance, this will be on a full time, permanent basis, operating from our Head Office Unity Place with travel to UK operational sites.
The Group Head of Governance is responsible for leading, aligning and continually evolving the Groups governance strategy, framework, and assurance arrangements. Ensuring effective corporate governance, regulatory compliance, and accountability across the Group.
Working in close partnership with the Group Senior Directors, Executive Leadership Team and our Joint Venture Partnership Boards, the role provides strategic and operational governance leadership, enabling high quality decision making, promoting a strong culture of integrity and accountability, and ensuring governance arrangements support the delivery of the Groups strategic objectives.
As the organisations senior governance expert, the postholder provides advice to senior leaders, oversees governance risk and assurance, and ensures governance practices reflect regulatory requirements and recognised best practice.
Key Responsibilities
- Lead the alignment, implementation and continuous improvement of the Groups corporate governance strategy and framework.
- Ensure governance arrangements support organisational strategy, business performance and effective decision making.
- Lead the integration and alignment of governance, risk and assurance activities to strengthen organisational resilience and oversight.
- Oversee the Group's governance assurance framework, ensuring appropriate monitoring of compliance obligations and governance performance.
- Provide strategic oversight of corporate governance risks, ensuring appropriate reporting and mitigation arrangements are in place.
- Provide executive oversight of the Groups corporate policy framework, ensuring policies remain current, compliant and aligned with strategic priorities.
- Lead periodic reviews of governance frameworks, constitutions, delegated authority arrangements and terms of reference.
- Build trusted relationships with Group Senior Directors, Executive Leaders, Board Members and external regulators.
- Influence strategic decision making through the provision of expert governance advice and insight.
- Develop governance performance measures and assurance reporting that provide meaningful insight to the Executive Team and Board.
- Present governance, compliance and assurance reports to the Groups Senior Leadership Team.
Our successful candidate
- Degree or equivalent professional experience.
- Significant senior leadership experience within corporate governance, regulatory compliance or a comparable governance function in a complex organisation.
- Extensive experience advising Boards, Executive Teams and senior leaders on governance, constitutional and regulatory matters.
- Demonstrable experience developing and implementing enterprise governance frameworks and governance improvement programmes.
- Excellent political awareness and organisational judgement.
- Outstanding written communication skills with the ability to produce Board level papers and governance reports.
- Qualification in Law, Corporate Governance, Risk Management, Business Administration or related discipline.
