Nord Anglia Education – the world’s leading private school’s organisation is recruiting a Senior Legal Counsel, M&A. You will be joining the Legal team based in our London office. London is our global headquarters where 200 colleagues across Finance, Risk, Corporate Development, Legal, HR, Marketing, Admissions & Communications (MAC) and Education drive the success of our 80+ schools in 30+ countries.

In the role of Senior Legal Counsel, M&A, you will be responsible for supporting the overall growth of the Group. This will involve assisting with the execution of M&A projects by providing comprehensive legal support throughout the whole deal lifecycle, including drafting and reviewing transaction documents, conducting due diligence, assessing legal risks, record keeping, as well as ensuring internal policies and procedures are followed.

The Role

  • Work day-to-day to support the Head of Corporate & Commercial on global M&A transactions (principally on the buy side).
  • Manage relationship and engagement with external lawyers and other external advisors and service providers working on any M&A transactions.
  • Work closely with internal stakeholders such as Corporate Development, Tax, Finance teams to ensure efficient progression on M&A transactions to meet annual targets.
  • Collaborate with cross-functional teams, including tax, finance, operations, and external advisors, to facilitate efficient and timely execution of M&A transactions.
  • Lead and manage legal aspects of greenfield/brownfield development, construction and lease related projects.
  • Provide support to Corporate Development team with drafting and reviewing NDA’s, LOI, Finders Fee Agreements and other agreements to support M&A activity.
  • Support, from a legal and project management standpoint, on all tasks and elements required across the full life cycle of all M&A transactions from the initial scoping stage right through to Post – Closing Integration matters.
  • Assist in managing any claims which arise from historical M&A activity the group has conducted in the past.
  • Ensure all transactions in which you are involved are conducted in accordance with, and comply with, NAE group policies and procedures.
  • Assist in the management and filing of legal documents and corporate records, in line with NAE practices and procedures.
  • Maintain and organise transaction related documents and related records, ensuring accuracy and completeness throughout the transaction and that they are reflected and recorded on our internal share drive.

The Successful Candidate will possess some of the below experience:

  • Lawyer, qualified in the UK or another common law jurisdiction.
  • Training in an international law firm with substantial experience in cross border M&A transactions through the full lifecycle of the deal.
  • Experience with real estate, greenfield, brownfield development and corporate finance transactions will also be useful.
  • Knowledge and experience working with international laws and cross border transactions.
  • Prior in-house experience.
