Job Description
We are seeking a CGI (ICSA) qualified company secretarial professional with recent experience within a premium listed environment. The successful candidate will bring hands‑on expertise in subsidiary compliance, Market Abuse Regulation (MAR) obligations and share plan administration, alongside a proactive and collaborative approach to governance support.
The Role
This is an excellent opportunity for an ambitious company secretarial professional ready to progress from assistant level into a broader, more autonomous role. Joining a collaborative and high‑performing team, you will deliver a first‑class company secretarial service across the business while gaining exposure to global projects and complex governance matters. You will take ownership of day‑to‑day compliance activities, support senior stakeholders and play a key role in maintaining strong governance standards across the organisation.
Responsibilities
- Lead the company secretarial administration of the Group’s UK subsidiary entities.
- Support the coordination and governance of the wider international subsidiary structure.
- Independently manage and maintain Market Abuse Regulation (MAR) insider lists.
- Administer Persons Discharging Managerial Responsibilities (PDMR) and Persons Closely Associated (PCA) records.
- Ensure statutory records are maintained accurately using Diligent Entities.
- Oversee routine filings with Companies House and the FCA.
- Assist with the planning and coordination of the AGM.
- Support preparation of the Annual Report and Notice of Meeting, including drafting ancillary documentation and collating key information.
- Support day‑to‑day administration of the Group’s employee share plans.
- Keep up to date with developments in corporate governance, regulation, and best practice.
- Provide guidance and mentoring to the Company Secretarial Assistant.
- Contribute to continuous improvement initiatives by reviewing and enhancing internal processes.
Qualifications
- CGI (ICSA) qualified.
- Strong academic background.
Experience
- Demonstrable company secretarial experience within a premium listed environment.
- Hands‑on experience managing subsidiary compliance, MAR obligations, and share schemes.
Technical Skills
- Strong organisational and administrative skills with excellent attention to detail.
- Proficient in entity management systems such as Diligent Entities or Blueprint.

- Confident communicator with the ability to build effective relationships across all levels of the business.
- Able to produce clear, concise work in a fast‑paced environment.
- Proactive and collaborative team player with a flexible approach to shared responsibilities.
