The Opportunity
EMV Capital is seeking an Associate Director to join its collegiate Corporate Finance team. This is a key hire for accelerating the growth ambitions of EMV Capital as it seeks to grow AUM from £100m+ towards £500m. As such, the role provides the successful candidate with a clear career progression pathway at an exciting time in the growth of EMV Capital. EMV Capital owns and manages a diverse portfolio of over 70 high growth companies in the deep tech and life sciences sectors, with a focus on UK but also a strong international offering. Typical transactions span the full life cycle of an investment, from origination through to investment fundraising rounds, portfolio management and exits. Core transactions include fundraisings across Seed to Series A and turnaround, typically raising between £0.5m and £5m from EIS investors and family offices (as well as investing as principal) through a mix of equity and debt instruments. This is an opportunity to work with a multi-disciplinary professional team and immerse in a hands‑on, transaction focused role at the centre of EMV Capital’s deal activity. The role by its nature also offers excellent exposure to portfolio company leadership and first‑hand involvement in influencing growth strategy. This role sits at the intersection of corporate finance advisory and venture capital portfolio management. It will suit a candidate with the rigour, pace and depth of execution associated with investment banking or corporate finance advisory, combined with the commercial judgement and entrepreneurial mindset to thrive in a dynamic, small‑team environment.
Role and responsibilities
- Transaction execution
- Assist with new investment evaluation, due diligence and deal structuring
- Lead and project‑manage fundraising processes for portfolio companies
- Drive M&A, exit and restructuring transactions from origination through to completion
- Assist portfolio companies in preparing investment memoranda, investor information packs, teasers and data rooms
- Build, review and stress‑test financial models
- Develop and defend valuations
- Coordinate and manage professional advisers (legal, accounting, tax) and other transaction stakeholders (including co‑investors)
- Draft and negotiate key transaction documentation alongside legal counsel
- Manage transaction timelines, workstreams and deliverables to ensure smooth and efficient execution
- Active role in executing EMV Capital’s own growth strategy
- Support ongoing monitoring of portfolio company performance against business plans and investment theses, including with quarterly reviews
- Prepare and maintain portfolio valuations, applying appropriate methodologies for early‑stage deep tech and life sciences companies
- Analyse management accounts, KPIs and operational metrics; identify risks and opportunities
- Prepare materials for investment committee reviews and investor reporting
- Work alongside the EMV Capital Value Creation Services team to support investment and exit readiness programmes for select portfolio companies
- Assist in formulating and providing strategic advice to portfolio company boards on capital structure, funding strategy and corporate development
- Manage the pipeline of existing mandates and new transaction opportunities
- Contribute to the development of transaction processes, templates and best practices
- Work closely with the EMV Capital fundraising team and Investor Directors to align transaction activity with portfolio strategy
- Engage with development and use of AI and Data automation initiatives to improve quality and efficiency of EMV Capital corporate finance processes
Candidate profile
Essential experience and skills
- At least 6 years’ post‑qualification experience in a UK‑based corporate finance firm
- Demonstrable track record of executing UK transactions in the sub £5m range
- Strong financial modelling, valuation and analytical capabilities
- Experience preparing investment memoranda, pitch materials and transaction documentation
- Experience reviewing and leading on transaction legals
- Ability to manage multiple concurrent transactions and workstreams under time pressure
- Excellent written and verbal communication; comfortable presenting to boards, investors and professional advisers
- Self‑starter who can work autonomously while collaborating effectively in a small, entrepreneurial team
- Delegation to and training of junior team members and co‑working with multi‑disciplinary team members
Preferred experience and qualifications
- ACA/ACCA qualified, ideally with a Big 4 or mid‑tier firm foundation
- Alternatively, a CFA charterholder with experience in a deal‑focused/corporate finance environment to understand the ‘insides’ of small company cash flows
- Experience at a UK‑based investment bank, corporate finance or transaction advisory firm
- Familiarity with UK venture and growth capital funding structures
- Expertise in transacting with deep tech, life sciences or IP‑rich growth companies
- Experience with M&A and with venture debt and growth lending is also helpful
