ABOUT THE ROLE
Join our Legal and Compliance team as a Corporate Counsel / Senior Corporate Counsel. In this role, you will serve as a key legal advisor within our Bermuda-based ILS platform and as a trusted legal partner to the Chief Legal Officer. Our ideal candidate will be a confident and effective communicator who grasps concepts quickly, demonstrates a commercial mindset, and takes substantial initiative and ownership.
In this role, you will:
- Provide legal guidance on regulatory and transaction matters across the firm’s ILS lifecycle
- Collaborate with the investor relations team and capital providers, contributing to fund structuring, offering materials, and investor-facing documentation
- Assist in the execution of ILS transactions, including the preparation of transaction documentation and supporting legal due diligence
- Draft and maintain the firm’s commercial contracts, reinsurance agreements, and offering memoranda to ensure alignment with the firm’s commercial objectives and compliance standards
- Support internal and external initiatives related to risk management and the deployment of risk and capital
- Monitor developments in current regulations and provide recommendations on ways for the firm to adapt to new standards
- Support the formation, structuring, and ongoing operation of ILS funds, reinsurance vehicles, special purpose insurers, and related entities
- Provide legal advice on corporate governance, entity management, and board-related matters across Nephila’s global platform
- Help develop and maintain internal legal policies, procedures, and controls
- Manage external counsel efficiently, ensuring high-quality advice and cost-effective outcomes
ABOUT YOU
You are a seasoned professional with a proactive mindset, capable of thriving in a fast-paced environment and leading a team to meet tight deadlines. You possess exceptional communication skills, with the ability to convey messages clearly, authentically, and effectively to stakeholders at all levels. You are comfortable navigating ambiguity and implementing changes where valuable to improve processes, reporting, etc. You demonstrate strong analytical aptitude and attention to detail. You are naturally curious and driven to solve business problems using your accounting knowledge and background.
WHAT YOU BRING TO THE TEAM (QUALIFICATIONS)
- 5–10+ years of relevant legal experience, including time at a top-tier law firm and/or in-house at an asset manager, insurer, reinsurer, or financial institution
- Strong background in corporate law; experience with investment funds, insurance/reinsurance, or structured finance highly desirable
- Familiarity with Bermuda legal and regulatory frameworks, or demonstrated ability to work effectively across multiple jurisdictions including the USA and UK
- Strong legal skills and commercial acumen
- Excellent drafting, negotiation, and analytical skills
- Ability to manage multiple priorities in a fast-paced, commercial environment
- Sound judgment, discretion, and a collaborative, solutions-oriented approach
