A leading independent professional services organisation providing corporate governance, company secretarial and advisory services to a diverse portfolio of clients, including businesses operating within the financial services sector.
The organisation works closely with senior stakeholders, boards and committees to provide high-quality governance support and ensure clients remain compliant with their statutory and regulatory obligations.
As part of continued investment in its Governance Advisory team, the business is looking to appoint an experienced Company Secretarial Manager to take responsibility for a portfolio of clients while contributing to the development of the wider team.
Role Overview
As Company Secretarial Manager, you will deliver a broad range of company secretarial and governance services across a varied client portfolio.
The role combines hands‑on technical company secretarial work with board and committee support, client relationship management and mentoring of more junior team members. You will work closely with senior colleagues and clients to provide practical, commercially focused governance advice and ensure consistently high standards of service delivery.
The role also provides the opportunity to contribute to the continued development of processes, procedures and capabilities within the wider Governance Advisory team.
Key Responsibilities
- Deliver high-quality company secretarial and governance services to a varied portfolio of clients.
- Provide end-to-end board and committee support, including preparation and collation of meeting papers, attendance at meetings, minute‑taking and action tracking.
- Advise clients on corporate governance best practice and review relevant governance documentation.
- Act as a relationship manager for a portfolio of clients, building strong and trusted relationships with senior stakeholders.
- Conduct regular relationship meetings with key clients and support the delivery of an excellent client experience.
- Ensure clients remain up to date with relevant statutory, legal and regulatory requirements.
- Monitor upcoming legislative and regulatory changes and assess their relevance to clients.
- Mentor and support junior members of the team on technical company secretarial and governance matters.
- Review work produced by junior colleagues and provide constructive feedback to maintain high standards of quality.
- Contribute to the development and improvement of team processes and procedures.
- Work collaboratively across the Governance Advisory team to support the wider business plan.
- Maintain strong operational and financial discipline across areas including time recording, billing, document management and resourcing.
Requirements
- Fully qualified (or studying towards) CGI/ICSA professional, or an equivalent professional qualification with relevant experience.
- Proven experience in a company secretarial or corporate governance environment.
- Experience attending and preparing minutes for Board and Committee meetings.
- Experience within financial services or another regulated environment would be advantageous.
- Strong understanding of corporate governance principles and statutory obligations.
- Commercial and practical approach to client service and problem solving.
- Strong relationship‑building skills with the credibility to work with senior stakeholders.
- Confident and effective communicator, both written and verbal.
- A degree in Law, Business Studies or a related discipline would be advantageous but is not essential.
