About the Role

We are seeking a detail-oriented Legal Counsel to join our lean legal team as the primary point of contact for contracts management and global entity management. This role is ideally full-time, though part-time arrangements (minimum 30 hours/week) may be considered for seasoned professionals who can deliver on the full scope of responsibilities. You will build and maintain our contract repository in SharePoint, organizing and tracking all commercial agreements across the business. You will also manage corporate records, annual filings, and entity compliance across multiple jurisdictions (Europe, China, Australia), supporting M&A integration and internal reorganizations. This is a high-impact opportunity for someone who thrives on creating order, keeping global entities in good standing, and building scalable legal processes.

The ideal candidate is a JD or LLM graduate with a passion for Legal Ops—someone who enjoys building SharePoint resources, organizing contract repositories, and managing corporate record books.

Key Responsibilities

  • Contracts Management
    • Build and maintain the company's contract repository in SharePoint, organizing all commercial agreements including distributor agreements, supply and procurement contracts, service agreements, and software/licensing arrangements.
    • Track contract status, key dates, renewals, and expirations.
    • Maintain accurate records of NDAs, standard Terms & Conditions, and executed agreements.
    • Support contract intake and ensure all fully executed contracts are properly filed and accessible.
    • Handle revisions to NDAs and standard Terms & Conditions. Redline and negotiate contract modifications, manage escalation of non-standard terms, and track contract status through execution.
  • Global Corporate Governance & Entity Management
    • Maintain and update corporate records for existing and newly acquired legal entities (Articles, Bylaws, Board Resolutions).
    • Track annual filing requirements and deadlines across multiple international jurisdictions (Europe, China, Australia).
    • Coordinate with outside counsel for Director/Officer changes, including managing notarization and international apostille requirements.
    • Support M&A and internal reorganization activities, including conducting corporate due diligence to ensure all corporate documents are in place following the 2025 Separation and incorporating newly acquired entities into the corporate record; participate in discussions regarding entity closures and coordinate with outside counsel to ensure proper dissolution.
  • Legal Operations & Knowledge Management
    • Build & Improve: Develop and organize a comprehensive Legal SharePoint site to centralize D&O info, policies, and resources.
    • Tech Implementation: Partner with internal IT on the in-house Contract Lifecycle Management (CLM) tool to ensure it meets the legal team's operational needs.
    • Process Improvement: Standardize legal templates (NDAs, Distributor Agreements) to ensure global consistency.
    • Outside Counsel Management: Coordinate with outside counsels and track legal spend/invoicing within AP systems; coordinate between outside counsels who manage the company's IP portfolio (patents & trademarks) and internal engineering and product teams.
    • Special Projects: Assist with special projects as assigned, including coordinating insurance certificate requests, supporting wage garnishment order processing, and other ad hoc legal matters as needs arise.

Reporting Structure

This position reports directly to the General Counsel and operates as a key liaison across multiple functional areas. The role requires close collaboration with outside counsels, consultants, and accountants in foreign jurisdictions for corporate governance and entity management matters. Additionally, the position involves regular interaction with internal business stakeholders across various departments to support commercial contract needs and ensure alignment with company policies and procedures.

Qualifications

  • Education: JD, LLM, or equivalent law degree.
  • Experience: Previous experience in a corporate legal department with a focus on corporate secretarial work or legal operations. Demonstrated contract drafting and negotiation skills, including redlining, risk analysis, and familiarity with commercial terms (indemnification, limitation of liability, warranties) preferred.
  • International Scope: Familiarity with jurisdictional requirements in Europe, China, India and/or Australia (including apostille processes). Common law background (UK, Ireland, India) preferred. Working hours follow local office schedule.
  • Tech Savvy: Strong proficiency in SharePoint, Microsoft Teams, and legal tech tools.
  • Skills: Exceptional attention to detail and the ability to work with minimal supervision in a fast-paced environment.
