Behind every effective organisation is a Board that makes informed decisions, operates with integrity and has the right governance in place. As Board Governance Manager at IC24, you'll play a vital role in making that happen. Working closely with our Chair, Chief Executive Officer, Chief Finance Officer and Board, you'll lead our company secretarial and governance function, ensuring our Board and Committees operate efficiently, meet their statutory responsibilities and have the information they need to make confident strategic decisions.

This is an exciting opportunity to join IC24 as we continue to strengthen our governance framework following an external governance review. You'll lead the delivery of our Governance Improvement Plan, embed robust assurance processes and help create an organisation that is audit-ready, compliant and focused on continuous improvement. No two days will be the same. You could be preparing Board papers, advising senior leaders on governance best practice, coordinating Board development, managing statutory compliance, supporting strategic risk management or working with colleagues across Finance, People, Quality and Operations to strengthen organisational assurance.

You'll be someone who enjoys bringing structure to complex environments, building trusted relationships with senior stakeholders and ensuring the highest standards of governance are maintained. This isn't simply a governance role. It's an opportunity to influence how one of the UK's leading social enterprise healthcare providers is governed.

What you'll be doing:

  • Leading Board governance and company secretarial services.
  • Acting as Company Secretary, ensuring IC24 meets all statutory and regulatory requirements while continuously improving governance frameworks, policies and Board processes.
  • Supporting an effective Board by working closely with the Chair, Chief Executive and Executive Team to plan and deliver high-quality Board and Committee meetings, forward plans, governance advice and Board development activities.
  • Driving governance improvement by leading delivery of the Governance Improvement Plan, embedding governance and assurance frameworks that strengthen oversight, accountability and organisational effectiveness.
  • Managing risk and assurance by supporting the Board Assurance Framework, governance reporting, strategic risk management and compliance activity, ensuring the Board has clear visibility of key risks and progress.
  • Producing high-quality governance documentation by preparing and reviewing Board papers, reports, minutes and governance documentation to support informed decision-making and effective governance.
  • Supporting regulatory compliance by maintaining oversight of statutory obligations, governance reviews, audit activity and reporting requirements, ensuring IC24 remains compliant and audit ready.
  • Building trusted relationships by working collaboratively with Board Directors, Executive Leaders, senior managers and external stakeholders, providing expert governance advice and influencing best practice across the organisation.
  • Improving how we work by identifying opportunities to modernise governance processes, embrace new ways of working and make governance more efficient, effective and accessible.

  • Produce high-quality reports, Board papers and governance documentation with exceptional attention to detail.
  • Are highly organised and able to manage multiple governance deadlines and annual reporting cycles.
  • Can interpret complex information, identify risks and communicate clearly with a wide range of stakeholders.
  • Are comfortable handling highly confidential and sensitive information with professionalism and discretion.
  • Enjoy improving processes and embedding governance frameworks that support organisational success.
