Nabrel Limited is seeking an elite deal origination professional to serve as Senior Advisor on a fractional, carry-aligned basis. This is not a staff position. It is a principal-level advisory seat designed for a veteran with an established tier-1 network, a verifiable track record of closing large-scale transactions, and the stature to open exclusive deal flow that would otherwise be inaccessible. The Senior Advisor operates with autonomy, engages at the highest commercial level, and is compensated through a structure that aligns with the institutional standards of the world's leading alternative asset managers.
THE ROLE: PRIMARY RESPONSIBILITIES
β€’ Strategic Deal Origination: Identify, qualify, and introduce tier-1 M&A, Joint Venture, and direct asset acquisition opportunities across Real Estate, Infrastructure, Energy, and Logistics sectors.
β€’ Network Leverage: Deploy a 20+ year executive network to secure exclusive deal flow, off-market primary entries, and proprietary transaction access unavailable through conventional origination channels.
β€’ Commercial Execution: Lead the negotiation of Letters of Intent (LOIs), define fundamental deal terms, and shepherd opportunities to the Investment Committee with full commercial context.
β€’ IC Presentation: Present high-conviction opportunities directly to Nabrel's Investment Committee, providing expert strategic and commercial framing to accelerate deal approval.
β€’ Relationship Stewardship: Maintain ongoing relationships with counterparties, operating partners, family-controlled businesses, and corporates to sustain a high-quality pipeline across investment cycles.
β€’ Market Intelligence: Provide senior management with forward-looking intelligence on sector dynamics, valuation benchmarks, and emerging transaction opportunities.
WHO WE ARE LOOKING FOR
β€’ Pedigree: 20+ years of high-level experience in Corporate Development, Investment Banking, Private Equity, or Real Assets fund management.
β€’ Track Record: A verifiable history of sourcing and closing large-scale transactions with cumulative deal value exceeding $1 billion.
β€’ Ecosystem Network: Commanding connectivity within Real Estate, Infrastructure, Energy, and specialized Logistics β€” including relationships with developers, corporates, sovereign counterparties, and family offices.
β€’ Deal Acumen: Mastery of commercial negotiation structures, complex operating business dynamics, and principal-level transaction conduct.
β€’ Institutional Credibility: Comfortable representing Nabrel at board level, in GP/LP forums, and in bilateral negotiations with sophisticated counterparties.
β€’ Independence: Able to operate autonomously within a defined mandate without requiring day-to-day management oversight.
ENGAGEMENT STRUCTURE
This role is structured as a Principal Advisory Agreement, not an employment contract. The Senior Advisor engages on a fractional basis with a defined mandate to originate deals. Carry allocation is reserved in Nabrel's Limited Partnership Agreement at the time of fund formation and vests deal by deal as originated transactions reach financial close. Co-investment rights are granted per transaction at the Advisor's election.
Engagement type: Principal Advisory Agreement (not an employment contract)
Carry vehicle: Reserved allocation within the GP carry pool β€” documented in the LPA at fund formation.
Vesting mechanism: Deal-by-deal vesting upon financial close of originated transactions

REMUNERATION & INCENTIVE STRUCTURE
The compensation architecture follows the industry standard used by Blackstone, KKR, and comparable institutional managers for senior advisory and venture partner arrangements. As Nabrel has not yet issued shares, equity alignment is delivered through a reserved carried interest allocation from the GP pool β€” consistent with the pre-first-close Venture Partner model used across the private equity industry.
Phase I: Deal Activation (Pre-Capital Trigger)
Origination success fee $30,000 – $50,000 per deal at financial close
Deal fee participation 0.5% share of total deal fees on each closed transaction
Carry allocation (reserved) 0.5% – 1.0% of GP carry pool β€” reserved in LPA at fund formation
Co-investment right Right to co-invest personal capital alongside the fund, deal-by-deal, at GP economics
Vesting trigger Deal-by-deal β€” vests upon financial close of each originated transaction
Phase II: Institutional Scale (Post-Capital Trigger)
Advisory retainer $80,000 – $120,000 per annum (activated upon $50M AUM threshold)
Continuous deal fee 0.5% ongoing participation in deal fees for all sourced transactions
Carry allocation (active) 0.5% – 1.0% of GP carry pool, scaling to 1.5% upon $250M AUM milestone
