- Assistant Company Secretary
- In this role reporting into the Company Secretary, you will be predominantly providing board and committee support for MRSGM entities in the UK.
- Responsible for the accurate production of meeting minutes.
- Responsible for ensuring compliance with relevant legal and regulatory requirements as well as providing advice on corporate governance and relevant regulatory matters to group directors and others as required..
- Responsible for ensuring the smooth and efficient running of the corporate governance structure and to support the development and enhancement of the corporate governance framework.
Responsibilities
- Corporate governance
- Responsible for supporting the Company Secretary in advising on, maintaining, embedding and advocating robust and proportionate corporate governance, reflecting industry standards and best practice, at both Board and Committee levels, including:
- Responsibility for the company secretarial servicing of certain committees by ensuring effective preparation for, administration of, and follow-up of all meetings;
- Supporting and coordinating Board self-effectiveness reviews;
- Co-ordinating and submitting filings to Companies House.
- Meeting operation
- Responsible to ensure the smooth operation of the Boards, Board Committees and sub-committees, including:
- Coordination of the annual schedule of Board and Board Committee meetings;
- Meeting planning, logistics, agenda setting, maintenance of the forward calendar;
- Compiling and circulation of the meeting packs; and
- attendance at relevant meetings for minuting.
- Other
- Helping to support the development of the Company Secretarial Assistant.
- Help drive forward good Conduct for the business to deliver the best outcomes for customers / policyholders.
- To undertake any ad-hoc projects and activities as and when required.
- Knowledge and Skills
- University Degree and/or relevant professional qualification
- ICSA qualified, or other equivalent qualification.
- Ideally at least 3 years previous company secretarial experience, to include: company administration, board/committee support (including minute writing).
- Insurance or financial services experience.
- Experience in a regulated environment, with FCA, Lloyd's and/or PRA.
- Excellent communication skills - written and oral, with experience communicating with a range of internal and external stakeholders at all levels, including senior stakeholders.
- Highly organised self-starter - able to prioritise and manage multiple tasks.
- Solution focused - an ability to investigate and respond to queries and issues arising.
- Self-motivated - Takes an enthusiastic approach and is able to work under own initiative without need for close supervision to achieve results.
- Personally Accountable - Willing to take personal responsibility to pursue tasks with energy and drive to completion.
- Pragmatic thinking style - Anticipates issues before they occur, is solution orientated, balances analysis, intuition, experience.
- Must have excellent written communication skills for report writing and taking minutes.
