The Team
The role will join the Legal team, providing strategic legal support to the Business Development & Alliance Management function. You will be responsible for driving optimal legal outcomes on complex multi-jurisdictional business transactions and managing legal aspects of key business alliances. You will collaborate with cross-functional teams and external counsel to ensure compliant, efficient and business-aligned decision-making.
Role and Responsibilities
- Provide comprehensive legal advisory support on multi-jurisdictional business development deals, including late-stage product transactions (such as distributorships and asset acquisitions/divestments) and early-stage product/technology deals (including IP licenses and R&D collaborations).
- Support the management of legal issues arising from key business alliances to enable effective operations and ensure sound risk management.
- Conduct contractual due diligence and assess legal risks and mitigation strategies.
- Draft, review and negotiate a wide range of business development agreements (e.g., asset purchase and sale agreements, licensing agreements, distribution agreements) and dispute-related documents (e.g., claim letters, settlement agreements).
- Manage dispute resolution matters, working with external counsel where necessary, and conduct legal research as required.
- Provide legal support for internal projects and broader corporate/commercial legal matters.
- Develop and maintain internal legal guidelines, playbooks and template agreements.
- Coordinate, draft and finalise inter-Mundipharma network agreements and corporate documentation.
- Deliver legal training to employees on relevant legal topics when needed.
What you'll bring
- Law degree or equivalent, with qualification as a lawyer (or practicing equivalent) in England & Wales or another Commonwealth jurisdiction.
- Minimum 6 years' experience in a legal department supporting corporate, commercial and M&A transactions.
- Pharmaceutical industry experience preferred but not essential.
- Proven experience and expertise in M&A or other material commercial transactions.
- Strong drafting skills across licensing, asset purchase/sale, distribution, supply, confidentiality and service agreements.
- Self-motivated, results-driven and accountable, with the ability to work independently.
- Personable, with strong relationship-building skills across all organizational levels.
- Fluent in English, both written and spoken, with excellent communication abilities.
- Pragmatic and solutions-focused, with strong judgment and influencing capabilities.
- Confident and credible, with the ability to work effectively with senior management.
- Strong analytical, organizational and project management skills.
