A rapidly expanding IT company that develops business development software alongside AI with cutting-edge technology requires a 2nd lawyer reporting to the Chief Legal Officer (CLO). This company has clients across a range of sectors including banking, healthcare, insurance, and retail. The role will focus primarily on commercial contracts, including customer, supplier, and partnership agreements, and will also support the CLO on day-to-day legal and compliance matters. You will work closely with colleagues across key functional areas, including sales, delivery, people and culture, and finance, helping the business move forward while managing legal risk in a practical and proportionate way. Experience in the technology/IT/digital/professional services sector is essential. In-house experience is an advantage but is not essential. Strong candidates from private practice with a transactional focus and a commercial mindset are encouraged to apply.
Key Responsibilities:
- Drafting, reviewing, and negotiating a range of commercial and technology agreements, for example:
- Master Services Agreements (MSAs)
- Statements of Work (SOWs) and contract variations
- SaaS/software licences
- Non-Disclosure Agreements (NDAs)
- Partnership and framework agreements
- Supporting pre-sales, sales, and delivery teams on contract terms, deal structures, and standard legal positions.
- Managing contracts through to execution, including coordinating comments, maintaining version control, and ensuring internal approvals are obtained.
- Assisting the CLO with day-to-day legal and compliance matters, including risk identification, issue escalation, and ad-hoc legal support.
- Applying commercial judgement when assessing legal risk, balancing legal protection with business objectives and delivery timelines.
- Contributing to the development and maintenance of contract templates, playbooks, and basic legal processes.
- Liaising with external legal advisers where required, under the direction of the CLO.
- Supporting, where appropriate, on employment and labour law matters (experience helpful but not essential).
