The Company Secretary has a key role across all entities in the Mosaic Group covering governance and regulatory requirements. Part of the Risk and Compliance function, the Company Secretary will be involved in numerous other development activities, as part of the growth of the business.
Key aspects of the role will include interaction across all Mosaic entities and Service Companies with regulators around the world, Asta Managing Agency and Lloyd’s. The role and its responsibilities are expected to evolve significantly over time as Mosaic continues to develop and grow, in particular with the creation of Mosaic’s own Lloyd’s Managing Agency and the associated transition away from Asta.
The Company Secretary will be responsible for supporting the Risk and Compliance team in ensuring Mosaic Group companies comply with all relevant regulation and legislation applicable in the general insurance sector and in the local territories in which they are present, including delivering Company Secretarial requirements.
This role will suit an individual who is personable and meticulous, comfortable taking ownership and initiative when working independently and alongside the wider business when needed. The candidate must have excellent communicative abilities, able to provide clear concise guidance and advice to the business both verbally and in written form.
Key Responsibilities- Governance and Company Secretarial
- Provide a full suite of Company Secretarial support to relevant Boards and Committees.
- Organisation of board meetings, arranging meeting agendas, materials and production of minutes, in conjunction with the chairs of those boards.
- Completion and maintenance of appropriate regulatory and statutory documentation.
- Review and oversight of contracts and agreements signed on behalf of the boards.
- Act as Company Secretary for UK/International Service Companies, providing advice on statutory compliance, regulatory and governance requirements.
- Production and maintenance of a library of appropriate policies and procedures to achieve compliance with relevant regulatory and legal requirements especially the UK Corporate Governance Code, Lloyd’s of London and Solvency II and monitor adherence to the procedures.
- Undertake Board and Committee effectiveness reviews and reports as necessary.

- Assist with the onboarding and coordination of any Director, including training requirements.
- Overseeing corporate governance requirements for each entity including Directorships.
- Monitoring changes in legislation, updating Boards and management teams on any legal and regulatory developments that impact the company.
- Liaise with and manage relationship with external advisors to ensure requirements are met and understood in the various territories in which Mosaic operates.
- Geographical Expansion Initiatives
- Support Mosaic’s leadership team in the operation of regional Service Companies, including filings, applications, regulatory and operational aspects.
The individual in this role will need to demonstrate the right blend of technical knowledge across governance and company secretarial, have excellent communication skills and be able to operate across multiple teams in a fast-moving environment as a self-starter.
Good understanding of regulatory handbooks, rules and guidance applicable to the insurance sector with particular experience working within the Lloyd’s market, an MGA, Insurer, or Broker.
Good communications skills and the ability to develop and maintain effective working relationships at all levels. Confidence and willingness to pursue delivery to challenging timescales in a complex environment.
Good knowledge of the global insurance market, Lloyd’s as well as other regulatory requirements and Lloyd’s Principles.
Good level of IT literacy particularly in Excel, Word, and PowerPoint. Experience within an MGA, Insurer or Broker is desirable. Outstanding organisation skills with a keen attention to detail.
