Join a specialist financial services team as a Corporate Governance & Compliance Paralegal supporting corporate actions across limited companies and LLPs. You will ensure accurate legal analysis, drafting, and regulatory compliance under industry frameworks. This role reports directly to the Group Head of Governance, Risk & Compliance and collaborates closely with internal teams and external advisers.
Key Responsibilities:
- Assist with the preparation and review of change-of-control documentation for private limited companies and LLPs.
- Draft and coordinate submission letters and internal reports for corporate action approvals.
- Provide legal commentary on complex ownership and layered trust structures, both domestically and internationally.
- Conduct initial reviews of trust deeds, shareholder agreements, LLP agreements, and transactional documents.
- Liaise with external counsel, company secretaries, and clients to ensure execution of legal and regulatory requirements.
- Support due diligence on intricate entity and trust combinations.
- Collaborate with compliance teams to maintain adherence to relevant regulatory frameworks.
- Contribute to ad hoc projects driven by shifts in law, regulation, or industry requirements.
Required Skills and Experience:
- Paralegal qualification, qualified law degree, or equivalent legal training.
- Proven corporate law experience within a regulated financial services environment.
- Thorough understanding of limited companies, LLPs, and trust structures.
- Strong legal drafting, document review, and analytical skills.
- Exceptional attention to detail and ability to summarise complex structures concisely.
- Proficiency with Microsoft Office and legal document management platforms.
Desirable Attributes:
- Background in the insurance market, corporate governance, or agency services.
- Exposure to trust documentation or fund arrangements.
- Familiarity with UK regulatory bodies and frameworks as they apply to corporate entities.
