Role Overview: Morgan Philips Specialist Recruitment are presently representing a globally operating, UK headquartered IT services and consulting firm with deep expertise in end-to-end technology solutions in their search for a Legal Contracts Manager. In this role you will provide essential legal support across the company's operational, sales, pre-sales, procurement, and senior management teams. You will ensure the business operates within a robust legal framework whilst supporting the achievement of its commercial objectives. Working collaboratively across departments, you will deliver efficient, pragmatic, and commercially focused contract support.
Key Accountabilities:
- Provide clear, practical, and commercially minded advice on contract terms, legal matters, and business risk.
- Review and negotiate a broad range of agreements, including confidentiality agreements / NDAs, supplier and customer contracts, software licences, statements of work and order forms, service level agreements, SaaS agreements, data processing agreements (DPAs), and agency, reseller, and service provision arrangements.
- Negotiate contract terms with customers and suppliers in line with business requirements, company policies, and risk appetite to achieve favourable commercial outcomes.
- Monitor contractual obligations, key milestones, renewals, termination rights, and compliance requirements, escalating risks and issues where appropriate.
- Support sales, procurement, and operational teams in interpreting contractual obligations and ensuring contractual commitments can be effectively delivered.
- Ensure contracts are reviewed and progressed through internal approval and governance processes in accordance with delegated authorities and company policies.
- Review and negotiate data protection, information security, and confidentiality provisions, working with compliance, security, and data protection stakeholders as required.
- Assist with the resolution of contractual disputes, claims, and interpretation issues, seeking appropriate internal or external support where required.
- Maintain accurate contracts registers and oversee the effective use of contract lifecycle management tools (CLM).
- Maintain and update the business's suite of legal templates, ensuring they remain current, accurate, and fit for purpose.
About You:
- Legal qualification or training (e.g. law degree, GDL, or LPC) demonstrating a solid understanding of fundamental legal principles, including English contract law.
- Minimum five years' experience in a contract management or commercial contracts role, ideally within the technology sector or a systems integration environment.
- Proven ability to negotiate and manage a range of commercial agreements, with some exposure to cross-border contracts and the complexities these present.
- Experience negotiating technology-related agreements, including software licensing, SaaS, support and maintenance, professional services, managed services, and cloud-related contracts.
- Experience supporting both buy-side and sell-side contractual arrangements.
- Working knowledge of UK GDPR, Data Protection Act 2018, and common contractual data protection requirements.
- Experience using contract lifecycle management (CLM) or contract repository systems.
