Role: Company Secretary, SMCR and Governance
Contract type: Fixed Term Contract – 12 months
Working pattern: 3 days per week
Primary responsibility:
- Co-ordinating the Senior Managers Regime
- Contributing to the execution Certification Regime
- Providing secretarial services to the Board, its sub-Committees, the Executive Committee and a number of its sub-Committees
Principal duties:
Senior Managers and Certification Regime- Maintain the firms SMCR Policy and supporting documentation, including SMCR Roles and Responsibilities document
- Working with stakeholders in P&C Division to implement new SMCR system, Trailight, particularly in relation to SMFs, Statement of Responsibilities and Delegation of Responsibilities to ensure the system is fit for purpose and supports the firms in meeting its obligations under the SMCR
- Support SMFs to maintain their SMCR documentation (including Statements of Responsibilities, Reasonable Steps Documents, Handover Documents and Delegation Letters), including co-ordinating an annual review of SMCR documentation
- Deliver training as required to ensure there is a firm-wide understanding of SMCR
- Prepare and submit SMCR applications and notification on the FCA’s Connect system (including SMF applications, Directory notifications and annual attestations)
- Manage SMF Handover and Induction processes as necessary
- Maintain the firms Management Responsibilities Map
- In conjunction with P&C, confirm incoming Certified Persons Certification Functions
- Provide sign-off on the annual Fitness and Propriety questionnaire
- Attend industry forums to continue to enhance the firms knowledge of best practice in relation to SMCR
- Provide secretarial support in relation to the Board, its sub-Committees, the Executive Committee, and a number of its sub-Committees (including, but not limited to, scheduling meetings, drafting agendas, compiling meeting packs, minute taking and maintaining action logs)
- Maintain the firms Corporate Governance Policy
- Complete annual reviews of Board/Committee Terms of Reference to ensure they remain fit for purpose
