The Legal Department of a leading global investment bank is seeking a Vice President to provide legal support for its Structured Notes and Derivatives businesses. The successful candidate will advise on the structuring, issuance, distribution, and lifecycle management of a broad range of structured products and derivatives transactions, working closely with Front Office, Compliance, Risk, Operations, and external counsel across multiple jurisdictions.

Key Responsibilities

  • Provide legal advice on structured notes, derivatives, and related capital markets transactions.
  • Draft, review, and negotiate transaction documentation, including offering documents, term sheets, distribution agreements, and derivatives documentation.
  • Advise on securities laws, regulatory requirements, product governance, and distribution matters across relevant jurisdictions.
  • Support new product development, transaction execution, and product approval processes.
  • Identify and manage legal and regulatory risks associated with structured products and derivatives activities.
  • Monitor legal and regulatory developments and provide strategic advice to business stakeholders.
  • Liaise with internal control functions, regulators, and external counsel as required.

Qualifications

  • Qualified lawyer with significant post-qualification experience gained at a leading law firm and/or global financial institution.
  • Strong experience advising on structured notes, derivatives, structured products, or capital markets transactions.
  • Sound knowledge of securities laws, financial services regulation, and derivatives documentation.
  • Excellent drafting, negotiation, analytical, and stakeholder management skills.
  • Ability to work effectively in a fast-paced, international environment.
