Senior Legal Counsel – Corporate in Coventry

Role Purpose: You will act as legal support for the UK business and wider international Moneycorp Group, predominantly focusing on corporate matters.

Role Responsibilities:

• Corporate Finance: reviewing and advising on financing arrangements, credit facilities, security documentation, capital structuring and shareholder funding agreements.
• Group Structure and Entity Management: Manage the Group’s corporate structure and support company incorporations, dissolutions and reorganisations.
• Corporate Governance: Advise directors on regulatory compliance, statutory duties, and internal company policies. Draft board resolutions and shareholder resolutions. Oversee the filing of accounts and confirmation statements. Assist with the preparation of Board meetings, including assembling Board packs, taking minutes and general ad-hoc tasks.
• Ensuring suitability of Group standard contracts. Reviewing, negotiating and advising contracts on behalf of Group functions.
• Managing the companies share scheme, including advising on equity issues, share buy-backs and related matters.
• Assisting with transactions such as corporate acquisitions and disposals. Instructing external legal counsel where appropriate.
• Assisting with wider work conducted by the Group Legal team where required, which includes commercial, regulatory and employment law.
• Assisting with the organisation of Group insurance cover.

What We’re Looking For:

Essential Knowledge, Skills & Experience:

• Legal knowledge and experience with financing, corporate structure, M&A, Debt Facilities, Banking, Corporate Governance, private equity structures, corporate restructuring.
• UK qualified lawyer with 4 years + of experience gained in a large law firm and/or in-house with a major firm.
• Previous corporate legal experience.
• High-level of attention to detail.
• Ability to multi-task with accuracy.
• Strong interpersonal and communications skills.

Education / Qualifications:

• Qualified solicitor with at least 4 years post-qualification experience.

Location and Contract Type: This is a full-time, permanent position. The role is expected to be office-based in London or Coventry, however, we have a flexible working policy which enables you to work up to 2 days from home.
