Overview of the Technology Team
Moelis & Company’s Technology investment banking team is a dedicated sector group advising leading technology, media and telecom (TMT) companies and — in particular — the financial sponsors that own them, across the US, UK, Europe and globally. The team works as part of the Firm’s global Technology franchise, with a core focus on sponsor‑led sell‑side M&A processes and technology capital markets. Our mandate is predominantly financial‑sponsor M&A – sponsor‑to‑sponsor sales, public‑to‑private situations, and minority & growth investments, complemented by strategic advisory and advice on continuation vehicles / financing. Sector coverage spans across the Technology landscape including horizontal & vertical software and data & analytics. Position Description
We are seeking an Associate to join our Technology investment banking team. This role is suited to a high‑performing banker with prior technology / TMT M&A experience – ideally on sponsor‑led sell‑side processes – strong analytical and execution capabilities, and a genuine interest in the technology sector. The Associate will play a key role in the execution of sell‑side mandates and financing transactions, financial sponsor coverage, and business development across the team’s technology franchise.
Responsibilities
- Perform detailed quantitative and qualitative financial analysis, including valuation work (DCF, LBO, public comparable companies, and precedent transactions) and software/SaaS‑specific analyses (ARR build, cohort and retention, net revenue retention, and Rule‑of‑40).
- Develop and maintain complex three‑statement operating models and LBO / sponsor returns models to support transaction evaluation and client decision‑making.
- Lead the preparation of sell‑side marketing materials, including information memoranda (CIMs), management presentations, teasers, sponsor / investment‑committee materials, and pitch books.
- Conduct company, industry, and market research to identify actionable sell‑side opportunities, acquisition targets, and strategic trends for financial sponsor and corporate clients across the technology landscape.
- Support senior team members across all aspects of transaction execution, including due diligence coordination (VDD, virtual data room, and buyer Q&A), process management, and liaison with clients, sponsors, and external advisors.
- Build and maintain strong relationships with financial sponsors, founders, and management teams through responsiveness, attention to detail, and a deep understanding of client objectives.
- Mentor and supervise analysts, assigning and reviewing workstreams to ensure quality and adherence to deadlines.
- Contribute to business development through idea generation, sponsor and sector mapping, and preparation of client‑ready materials.
Qualifications and Experience
- Strong analytical, financial modelling, and presentation skills.
- Solid understanding of accounting, corporate finance, and valuation methodologies, including software / SaaS and other technology operating metrics.
- Minimum of 3 years of relevant experience in investment banking (technology / TMT M&A or corporate finance); experience at a sponsor‑focused or sell‑side advisory practice, or in technology‑focused private equity, is particularly relevant.
- Direct sector experience in technology is strongly preferred – across software (vertical and horizontal application software) and / or data & analytics an advantage.
- Demonstrable execution experience on at least 4–6 technology transactions, with a focus on sponsor‑led sell‑side M&A, of which a minimum of 2–3 should have reached signing or completion; prior experience working with or advising financial sponsors is essential.
- Demonstrated client‑focused mindset with the ability to deliver high‑quality, tailored solutions.
- Proven team player with excellent communication and interpersonal skills.
- Ability to thrive in a fast‑paced, detail‑oriented, and collaborative environment.
- Proficiency in Microsoft Excel, PowerPoint, and Word.
- Fluency in English is required; proficiency in an additional European language is advantageous.
