Role Overview
We are seeking an experienced and highly motivated Paralegal to join our Legal team in London. The successful candidate will provide comprehensive support to the Senior Legal Counsel and General Counsel across a broad range of corporate, transactional, regulatory, and commercial matters. This role offers exposure to complex cross‑border transactions and the opportunity to work closely with senior stakeholders across the organisation.
Key Responsibilities
- Provide paralegal support throughout the full lifecycle of corporate transactions, including acquisitions, reinsurances, divestitures, and joint ventures.
- Assist in the identification, collation, and organisation of legal and regulatory due diligence materials, including maintaining due diligence trackers, coordinating information requests, and preparing document summaries.
- Support the preparation and formatting of legal due diligence reports and transaction summaries for the M&A team under the supervision of the Senior Legal Counsel.
- Assist with drafting, reviewing, and managing transaction documentation, including share purchase agreements (SPAs), reinsurance/retrocession agreements, trust agreements, financing documentation, shareholder and board resolutions, and conditions precedent checklists.
- Support the preparation and collation of documentation for regulatory change‑of‑control applications, including business plans and schemes of operation, and liaise with local counsel and regulators to ensure smooth progression of applications.
- Contribute to post‑acquisition integration activities, including assessing and reorganising legal processes and facilitating the transfer of legal information between the M&A deal team and operational integration teams.
- Assist with the review of TOBAs, NDAs, binding authority agreements, distribution agreements, fronting arrangements, and claims handling agreements.
- Review a wide range of commercial agreements, including IT contracts, IP arrangements, lease agreements, engagement letters, and services agreements.
- Support the response to regulatory queries across multiple jurisdictions and coordinate instructions to local counsel as required.

Qualifications & Experience
- Minimum of 3 years’ experience as a paralegal within a top‑tier law firm or in‑house legal function, with exposure to corporate transactions, insurance, or financial services.
- Strong academic background.
- Proven ability to build strong working relationships and operate as an effective team player.
- Experience within financial services institutions is desirable but not essential.
- Experience using AI tools to enhance efficiency in legal review and drafting processes.
