The Loan Agency Associate will support the team in managing the full lifecycle of syndicated loan transactions. The role focuses on reviewing and negotiating loan documentation, coordinating deal onboarding, and ensuring all agency duties are delivered accurately and in line with internal processes. You’ll work closely with borrowers, lenders, legal counsel and internal stakeholders, helping to maintain smooth operational delivery across a range of financing structures. This position offers strong exposure to complex transactions and the opportunity to develop deep expertise within a collaborative Loan Agency function.
Duties And Responsibilities
- Support the VP review and negotiation of draft transaction documents for new loans including loan facility agreements, Common Terms Agreements, Intercreditor Agreements, security trust & intercreditor deed and other relevant agreements.
- Support the VP review and negotiate provisions in capacities such as Global Agent/Intercreditor Agent/Facility Agent including administrative provisions credit Agreements to ensure obligations being agreed to are deliverable and are as per the requirements of the Bank’s internal processes, business/legal/compliance/loans admin sign-off and procedures.
- Assist and eventually take ownership of managing the Deal onboarding, oversee & manage the coordination, liaison and set up of new deals and confirming Conditions precedent.
- Managing the amendment, consent and waiver requests for existing loan documents with the Lenders and the Borrowers and updating Debt Domain consent tab with lenders decisions.
- Checking for and diarising Margin changes triggered by performance related events or trigger dates in loan agreements including compliance cert/ratings change and notifying lenders.
- Setting up and managing the financial reporting covenant diaries via Debt Domain, and the distribution of covenants information to the lenders in a timely manner.
- Relationship management of the borrower and lending group.
- Acting as Security Agent, reviewing Account Bank agreements and liaising with Mizuho as Account Bank.
- Completing the internal ad-hoc tasks as requested by the team head.
- Manage all documentation and admin activities including projects and ad hoc tasks that further advance the systems, processes, procedures and scope of the Loan Agency Administration team to adapt to new technology and loan processing systems.
- To liaise with the Loan Agency Administration team and ensure that all drawdowns, rollovers, repayments, prepayments, guarantee bookings and fees are processed by the team in a timely and accurate manner.
- To ensure that primary and secondary trades are processed in a timely, accurate manner and records are updated including Debt Domain with respect lenders and their outstanding balances.
- To communicate with Customers / Relationship managers / Agent Banks and Participant Banks (as the case may be) in order to ensure that the Agency facilities are correctly handled in accordance with the Agreements.

- Previous knowledge of Libor transition related amendments
