The Associate General Counsel (m/f/d) will provide legal support for the affiliates of Mitsubishi Chemical Group EMEA in the areas of M&A, business transactions, property relations, projects and all other day-to-day legal topics. The role is based on a 2-year fixed-term employment contract. This role may be performed remotely (only UK) or from our offices in Wilton, UK or Düsseldorf, Germany.

Responsibilities

  • Playing a key role in the support of corporate transactions including acquisitions, divestments, restructuring and strategic transactions.
  • Serving as a proactive advisor on a range of legal matters across the EMEA region and supporting colleagues worldwide as part of the global legal team.
  • Responsibility for providing corporate and company secretarial support to all affiliated entities across the EMEA region.
  • Evaluating pre-litigation issues to minimize risks; overseeing litigation; advising management on strategy and providing litigation reports.
  • Drafting, structuring and reviewing commercial agreements.
  • Working closely with colleagues globally including HR, Finance and Internal Audit.
  • Instilling confidence and fostering an atmosphere of trust and respect among colleagues.

Qualifications and Skills

  • Qualified lawyer or equivalent (Germany or England).
  • Multinational diversified company exposure required and experience working in chemical, materials or manufacturing environment desirable.
  • Role would suit a lawyer with a background in corporate / commercial property law, M&A, transaction or general commercial.
  • A strong commercial, business focused, approach required.
  • Ability to act autonomously, be proactive and flexible in responding to changing demands.
  • Skills in providing training to the business on legal matters and related content.
  • Compliance understanding and exposure to commercial matters that require compliance knowledge (e.g. antitrust, export control).
  • Fluency in English is required, any other language is desirable.
