Job Description
Reporting to the General Counsel (based in London), the Corporate Legal Counsel will be responsible for a broad corporate role as a trusted lawyer and key advisor on matters of strategic and financial importance. This is a highly visible role within a well-regarded legal team. The position is full-time; applicants must have the right to work in the UK.
The ideal candidate will be an English-law qualified corporate lawyer with 3+ years of post-qualification experience. The legal team advises on diverse areas including corporate, commercial, compliance, intellectual property, and data protection, supporting HR, advertising, and finance functions.
Responsibilities at Miniclip:
- M&A
- Handle all legal aspects of M&A transactions, collaborating with the corporate finance team.
- Manage legal due diligence and coordinate with relevant stakeholders.
- Coordinate with external counsel on M&A deals.
Portfolio Management
- Oversee post-closing matters and support portfolio studios.
- Ensure smooth integration of new acquisitions and establish new arrangements post-integration.
Corporate Governance
- Lead corporate governance activities, including drafting board minutes and ancillary documents.
- Work with Finance to ensure compliance with regulatory requirements related to financial audits.
- Manage intergroup legal matters, including drafting intercompany agreements.
- Handle insurance renewals.
