Our client is a leading international law firm with a top-tier reputation for advising private equity sponsors, investment funds and major corporate clients on sophisticated M&A and investment transactions.

The team acts on some of the market's most significant private equity deals and is known for its commercial approach, collaborative culture and commitment to developing junior talent.

Job Description

The successful candidate will work exclusively with the Private Equity team, providing support across a range of transactions from inception through to completion.

Responsibilities will include

  • Preparing and managing initial drafts of transaction and corporate documents for lawyer review.
  • Assisting with legal due diligence exercises, including reviewing documentation and coordinating due diligence questionnaires.
  • Conducting Companies House and other corporate searches.
  • Managing virtual data rooms and supporting document organisation on platforms such as Datasite.
  • Maintaining transaction bibles and organising closing documentation.
  • Preparing, updating and monitoring signing and closing checklists.
  • Tracking transaction deliverables and project milestones.
  • Coordinating warranty and disclosure processes, including supporting warranty calls.
  • Liaising with lawyers, clients and third parties to ensure efficient deal execution.
  • Providing general transactional and administrative support to the Private Equity team as required.
  • The Successful Applicant
  • Previous paralegal experience within a Corporate, M&A or Private Equity team, ideally gained at a recognised law firm.
  • Strong understanding of corporate transactions and legal due diligence processes.
  • Experience conducting Companies House searches and managing transaction documents.
  • Excellent organisational skills with the ability to manage multiple deadlines in a fast-paced environment.
  • High level of accuracy and attention to detail.
  • Strong communication and stakeholder management skills.
  • Experience using virtual data room platforms such as Datasite would be advantageous.
  • A proactive and commercially minded approach with a willingness to take ownership of tasks.
  • LPC, SQE or equivalent legal qualification preferred, but not essential.
