The Legal Director's Responsibilities will include:
- Mergers & Acquisitions (M&A)
- Lead legal due diligence for acquisitions and strategic investments.
- Structure, negotiate, and execute cross-border M&A transactions.
- Support smooth integration and assess legal risks in restructurings and blockchain-related deals.
- Ensure compliance with international legal frameworks and sustainability-driven regulations.
- Commercial Contracts & Business Operations
- Draft, negotiate, and manage a wide range of commercial agreements, including vendor, partnership, software licensing, and blockchain-related contracts.
- Oversee day-to-day operational contracts, from NDAs to facilities agreements.
- Conduct legal risk assessments and ensure contractual compliance.
- Advise on digital asset transactions within evolving regulatory landscapes.
- Corporate Governance & Regulatory Compliance
- Support the CFO in maintaining robust governance frameworks across jurisdictions.
- Manage corporate filings, shareholder agreements, board resolutions, and legal documentation.
- Provide legal guidance on ESG regulations, data privacy, and smart contract governance.
- Ensure ethical, sustainable, and compliant business practices.
- External Counsel & Risk Management
- Build and manage relationships with external legal advisors across multiple regions.
- Oversee outsourced legal matters, ensuring strategic alignment and cost-efficiency.
- Identify, assess, and mitigate legal risks across the business.
The Successful Applicant: The successful applicant will most likely have 10+ years of legal experience with a focus on M&A, cross-border deals within the fintech space. In addition they should:
- Have a strong background in financial services, sustainability, and emerging tech sectors.
- Be skilled in navigating complex global regulations (UK, U.S., Middle East, ESG).
- Demonstrate proven ability to manage external counsel and lead international legal teams.
