Our Client, a global healthcare company is seeking an experienced M&A Project Manager to lead end-to-end integration and divestiture initiatives, with a strong focus on Transition Services Agreements (TSA), particularly vendor transition activities. The role involves driving the full M&A lifecycle, including IT due diligence, sign-to-close and post-close execution, ensuring seamless business continuity and minimal disruption across global operations. You will lead large-scale program delivery across multiple workstreams, including IT systems (applications, infrastructure, data, and security), supply chain, and business functions, ensuring alignment with strategic objectives. This is a contractual role for 9-12 months, with the likelihood of an extension (based on performance).
Responsibilities:
- Lead end-to-end M&A integration and separation programs, covering IT due diligence, sign-to-close, Day 1/Day 100 planning, and post-close execution.
- Drive the design, negotiation, and execution of Transition Services Agreements (TSA) and reverse TSAs, including run costs, one-time costs, and stand-up costs.
- Manage TSA lifecycle with a strong focus on vendor transitions, ensuring seamless service handover, contract alignment, and continuity of operations.
- Lead vendor transition strategies, coordinating third-party providers and ensuring performance, compliance, and timely TSA exits.
- Oversee multiple workstreams including IT (applications, infrastructure, data, security), supply chain, and business functions.
- Establish and manage Integration Management Office (IMO) or Separation Management Office (SMO), including governance, reporting, and stakeholder alignment.
- Drive IT carve-outs and integrations, including system transitions, data migration, application rationalization, infrastructure consolidation, and decommissioning.
- Develop and maintain M&A playbooks, tools, and frameworks to enable scalable and repeatable execution.
- Partner with senior leadership to provide strategic direction, manage risks, and support key decision-making across programs.
- Track program performance, manage budgets, and ensure alignment with timelines, KPIs, and SLAs.
- Lead cross-functional and global teams, ensuring collaboration across business units, IT, and external vendors.
- Drive change management and communication strategies to ensure smooth transitions and stakeholder alignment.
- Manage multiple projects, workstreams, and competing priorities in complex and ambiguous environments.
- Ensure strong governance, issue resolution, and delivery of high-quality outcomes across all phases of the M&A lifecycle.
Requirements:
- Proven experience managing multiple M&A transactions with strong expertise in TSA execution and vendor transitions.
- Deep understanding of IT integrations and separations, and the ability to manage multiple workstreams and competing priorities.
