Our client is a respected professional membership organisation with a public-interest remit and a growing national profile. They are seeking an experienced Part Time Head of Governance to lead and strengthen governance across the organisation, ensuring the highest standards of compliance, accountability and board effectiveness.
This is an excellent opportunity for an experienced governance professional to work closely with the Chair, Board of Trustees and Executive Team, shaping governance strategy and embedding best practice across a nationally recognised organisation.
The Role of Head of Governance
Reporting to the Chief Executive Officer and Chief Operating Officer, with a direct advisory relationship to the Chair and Board of Trustees, the Head of Governance will be responsible for ensuring the organisation operates in full compliance with charity law, regulatory requirements and recognised governance best practice. The role will lead governance development across the organisation, provide expert advice to trustees and senior leaders, oversee Board and committee processes, and drive implementation of recommendations arising from a recent governance review. The successful candidate will play a pivotal role in maintaining public confidence and supporting the organisation's long-term effectiveness.
Key Responsibilities
- Lead and oversee the organisation's governance framework, ensuring compliance with charity law, governance codes and regulatory requirements.
- Provide expert governance advice to the Chair, Board of Trustees, Chief Executive Officer and Executive Team.
- Maintain and develop governance policies, the Scheme of Delegation and statutory governance documentation.
- Plan and coordinate Board and committee meetings, including agendas, papers, minutes and action tracking.
- Lead trustee recruitment, induction, training and succession planning.
- Implement governance improvements and embed governance best practice throughout the organisation.
- Support organisational risk management, compliance reporting and governance assurance.
- Oversee governance arrangements for both the charity and its trading subsidiary.
- Manage governance-related policies including conflicts of interest, data protection, subject access requests, complaints handling and governance documentation.
- Support continuous improvement of Board effectiveness through performance evaluation and governance development initiatives.
About You
We are seeking an experienced governance professional with:
- Significant governance experience within the charity, not-for-profit or membership sector.
- Excellent knowledge of UK charity law, governance codes and regulatory requirements.
- Experience advising Boards, Trustees, Chairs and senior executives.
- Proven experience preparing high-quality Board papers, agendas, minutes and governance records.
- Experience implementing governance reviews, organisational change or governance improvement programmes.
- Strong organisational, communication and stakeholder management skills.
- Excellent judgement, discretion and the ability to manage sensitive and confidential matters.
- A collaborative approach with the confidence to influence at Board level.
Desirable
- Experience within a professional body, chartered institute or organisation with a public-interest or regulatory remit.
- Knowledge of governance across charitable and commercial entities.
- Experience supporting organisational risk management and assurance frameworks.
