Overview

MCS Group is working with a leading financial services organisation in Belfast to recruit an Assistant Company Secretary. This role offers a fantastic opportunity to support the governance function of a major institution, working directly with Board and Committee structures, senior stakeholders, and external regulators.

Key Responsibilities

  • Manage Board and Committee meetings: agenda setting, paper collation, minute taking, and action tracking.
  • Prepare Corporate Governance and s172 Statements for statutory reporting and publication.
  • Oversee Companies House filings and ensure compliance with governance and regulatory standards.
  • Support Director appointments, resignations, and inductions.
  • Act as a governance adviser to senior stakeholders across the business.
  • Contribute to governance best practice initiatives and embrace new technologies to enhance operations.

Essential Skills and Experience

  • Company Secretarial qualification (ICSA/CGI) or strong governance/legal experience.
  • Knowledge of corporate governance, UK Companies Act, and FCA/PRA regulations.
  • Strong organisational skills with the ability to prioritise and manage deadlines.
  • Excellent communication, discretion, and stakeholder management skills.
